Company Offering Expenses. The Company will pay all expenses incident to the Offering and the performance of its obligations under this Agreement, including (a) the preparation and filing of the Prospectus and the Registration Statement, including SEC filing fees, (b) the fees and disbursements of counsel, accountants and consultants related to the preparation of the Prospectus and the Registration Statement, (c) the fees of the Escrow Agent and other escrow fees; (d) the qualification of the Shares for the offer and sale thereof under the securities laws of the states the Company may reasonably designate, including filing fees and the fees and disbursements of counsel in connection therewith, and (d) the printing and delivery to the Agent of such quantities of the Prospectus as the Agent may reasonably request and all amendments or supplements thereto. Such costs and expenses shall be paid whether the Offering is consummated or not, and the Company’s responsibility to pay such expenses shall survive the termination of this Agreement. Except as otherwise provided in Section 11.1.2 hereof, the Agent shall be solely responsible for its out-of-pocket expenses, including counsel fees, incurred in connection with its performance of its obligations hereunder.

  • Offering Expenses You authorize the Manager to charge your account with your Underwriting Percentage of all expenses agreed to be paid by the Underwriters in the Underwriting Agreement and all expenses of a general nature incurred by the Manager and Co-Managers under the applicable AAU in connection with the Offering, including the negotiation and preparation thereof, or in connection with the purchase, carrying, marketing, sale and distribution of any securities under the applicable AAU and any Intersyndicate Agreement, including, without limitation, legal fees and expenses, transfer taxes, costs associated with approval of the Offering by FINRA, and the costs of currency transactions (including forward and hedging currency transactions) or, if permitted pursuant to Section 3.1 hereof, any other forward or hedging transactions (including interest rate swaps) entered into to facilitate settlement of the purchase of Securities permitted hereunder.

  • Selling Expenses The term “Selling Expenses” shall mean all underwriting discounts and selling commissions applicable to the sale of Registrable Securities pursuant to Sections 2.3, 2.4 and 2.5 hereof.

If the Company decides not to proceed with the Offering for any reason (other than Placement Agent's failure to close on the Offering in the time frame set forth in Paragraph 1 of the letter of intent dated March 15, 1999 between the parties (the "LOI")), or if the Placement Agent decides not to proceed with the Offering because of a material breach by the Company of its representations, warranties, or covenants in this Agreement or in the LOI or as a result of material adverse changes in the affairs of the Company, or failure to meet the General Conditions set forth in Paragraph 9 of the LOI, the Company will be obligated to pay the Placement Agent liquidated damages of $120,000, to reimburse the Placement Agent for its time, work and expenses up to the sum of $25,000 and to issue the Placement Agent Agent's Warrants to purchase 12,500,000 shares of Common Stock. If the Placement Agent decides not to proceed with the Offering other than for the reasons set forth above, the Company's obligation to reimburse the Placement Agent shall be limited to $25,000. The Placement Agent shall have no liability to the Company for any reason should the Placement Agent choose not to proceed with the Offering contemplated hereby.

  • Organizational and Offering Expenses Any and all costs and expenses, including Selling Commissions and the Marketing Support Fee incurred by the Company or any of its Affiliates in connection with the formation, qualification and registration of the Company and the marketing and distribution of Equity Shares in an Offering, including, without limitation, the following: legal, accounting and escrow fees; due diligence expenses; printing, amending, supplementing, mailing and distributing costs; personnel costs associated with processing investor subscriptions and the preparation and dissemination of organizational and offering documents and sales materials; telecopy and telephone costs; charges of transfer agents, registrars, trustees, depositories and experts; and fees, expenses and taxes related to the filing, registration and qualification of the Equity Shares under federal and state laws.

  • Moving Expenses If Employer relocates its principal office more than 100 miles from its current principal office, or requests that Employee relocate to one of its offices which is more than 100 miles from its current principal office, and Employee consents to relocate to that new location, Employer shall promptly pay or reimburse Employee for all reasonable moving expenses incurred by Employee in connection with the relocation plus an amount to reimburse Employee for any federal and state income taxes that it has to pay on amounts reimbursed. Employer also shall indemnify Employee against any loss incurred in connection with the sale of Employee's principal residence. The amount of any loss shall be determined by taking the difference between the average of two appraisal prices set by two independent appraisers agreed to by Employer and Employee and the actual sales price of Employee's principal residence.

  • Marketing Expenses Certain marketing expenses, such as Selected Dealer conferences, may be advanced to Selected Dealer and later deducted from the portion of the Dealer Manager Fee re-allowed to that Selected Dealer. If the offering of Shares in a Feeder Fund is not consummated, Selected Dealer will repay any such advance to the extent not previously expended on marketing expenses. Any such advance shall be deducted from the maximum amount of the Dealer Manager Fee that may otherwise be re-allowable to Selected Dealer. Notwithstanding anything herein to the contrary, as to any Feeder Fund, Selected Dealer will not be entitled to receive any Dealer Manager Fee and/or Distribution and Shareholder Servicing Fee which would cause the aggregate amount of selling commissions, dealer manager fees, Distribution and Shareholder Servicing Fees and other forms of underwriting compensation (as defined in accordance with applicable FINRA rules) received by the Dealer Manager and all Selected Dealers to exceed 10.0% of the gross proceeds raised from the sale of Shares in the Feeder Fund’s primary offering.
