Fees of the Escrow Agent. The fees of the Escrow Agent, including (a) the normal costs of administering the Escrow Account as set forth on the Fee Schedule attached hereto as ANNEX A, and (b) all fees and costs associated with the Escrow Agent's administration of the Escrow Account, shall be paid by Buyer. In the event that the Escrow Agent renders any service hereunder not provided for herein or there is any assignment of any interest in the subject matter of the Escrow Account or modification hereof, the Escrow Agent shall be reasonably compensated for such extraordinary services by the party that is responsible for or requests such services.
Fees of the Escrow Agent. Coronation covenants and agrees to pay to the Escrow Agent from time to time, and the Escrow Agent shall be entitled to, the fees and expenses agreed to in writing between Coronation and the Escrow Agent (which at the date hereof are set forth in Schedule 6.8 hereto) and will further pay or reimburse the Escrow Agent upon its request for all reasonable expenses, disbursements and advances incurred or made by the Escrow Agent in accordance with any of the provisions hereof or any other documents executed in connection herewith (including the reasonable compensation and the reasonable expenses and disbursements of its counsel and of all persons not regularly in its employ), which related expenses, disbursements and advances shall be paid by the requesting party, as set forth therein. The obligations of Coronation under this Section 6.8 to compensate the Escrow Agent and to pay or reimburse the Escrow Agent for reasonable expenses, disbursements and advances shall survive the satisfaction and discharge of this Agreement or the earlier resignation or removal of the Escrow Agent.
Fees of the Escrow Agent. The fees and charges of the Escrow Agent with respect to this Agreement are identified on Schedule B attached hereto. The initial fee shall be paid by Parent, with the amount of such initial fee reimbursed to Parent from the interest earned on the Escrow Amount while held by Escrow Agent. The annual fees and any miscellaneous fees of Escrow Agent shall first be deducted from the interest earned on the Escrow Amount while held by the Escrow Agent, and second, if such interest earned is insufficient to cover the fees of Escrow Agent, shall be paid by Parent.
Fees of the Escrow Agent. The Escrow Agent shall be entitled to, and the Parent and the Company, jointly and severally, agree to pay to the Escrow Agent all of the fees and expenses set forth on Schedule 3 hereto. As between themselves, the Parent and the Company shall share equally all fees and expenses to which the Escrow Agent is entitled pursuant to this Agreement. If any fees, expenses or costs incurred by, or any obligations owed to, the Escrow Agent by the Company hereunder are not properly paid when due, the Escrow Agent may reimburse itself therefor first, from the Escrow Funds, and the Escrow Agent may sell, convey or otherwise dispose of the Escrow Funds for such purpose. As security for the due and punctual performance of any and all obligations to the Escrow Agent hereunder, now or hereafter arising, the Parent and the Company hereby pledge, assign and grant to the Escrow Agent a continuing security interest in, and a lien on, the Escrow Funds and all distributions thereon or additions thereto (whether such additions are the result of deposits or the investment of the Escrow Funds). The security interest of the Escrow Agent shall at all times be valid, perfected and enforceable by the Escrow Agent against the Parent, the Company and all third parties in accordance with the terms of this Agreement. The obligations of the Parent and the Company under this Section 13 to compensate the Escrow Agent and to pay or reimburse the Escrow Agent for reasonable expenses, disbursements and advances shall survive the satisfaction and discharge of this Agreement or the earlier resignation or removal of the Escrow Agent.
Fees of the Escrow Agent. The Sellers will be solely responsible for the fees and costs of the Escrow Agent incurred in connection with this Agreement and pursuant to the terms and conditions of the Escrow Agreement.
Fees of the Escrow Agent. The fees of the Escrow Agent, including (i) the normal costs of administering the Escrow as set forth on the Fee Schedule attached hereto as APPENDIX II and (ii) all fees and costs associated with the administration of Claims, shall be paid by Xxxxx. In the event that the Escrow Agent renders any service hereunder not provided for herein or there is any assignment of any interest in the subject matter of the Escrow or modification hereof, the Escrow Agent shall be reasonably compensated for such extraordinary services by the party that is responsible for or requests such services.
Fees of the Escrow Agent. 8.1 In consideration of the services to be provided by the Escrow Agent hereunder, the Escrow Agent shall be paid a lump sum of USD 25,000. In the event the Long Stop Date is extended, in accordance with Sub-Article 9.2, an additional lump sum of USD 5000 per month shall be paid to the Escrow Agent.
Fees of the Escrow Agent. The fees of the Escrow Agent, including the normal costs of administering the Escrow Fund as set forth on the Fee Schedule attached hereto as Annex B, any expenses incurred by the Escrow Agent in performing its obligations pursuant to Section 4(d) herein and all fees and costs associated with the Escrow Agent's administration of Indemnified Losses, shall be paid (i) 50 percent by the Acquiror (out of its own funds), and (ii) fifty percent by the Stockholders (which shall be paid solely out of the Escrow Fund).
Fees of the Escrow Agent. The fees of the Escrow Agent, including (i) the normal costs of administering the Escrow as set forth on the Fee Schedule attached hereto as Annex B and (ii) all fees and costs associated with the Escrow Agent's administration of Claims, shall be paid by Acquiror. In the event that the Escrow Agent renders any service hereunder not provided for herein or there is any assignment of any interest in the subject matter of the Escrow or modification hereof, the Escrow Agent shall be reasonably compensated for such extraordinary services by the party that is responsible for or requests such services.
Fees of the Escrow Agent. The fees of the Escrow Agent, including (i) the normal costs of administering the Escrow Fund as set forth on the Fee Schedule attached hereto as ANNEX C and (ii) all fees and costs associated with the Escrow Agent's administration of Claims, shall be paid one-half by Phoenix Footwear and one-half out of the Escrow Fund on behalf of the Former H.S. Trask Stockholders. Payment out of the Escrow Fund shall be made by sale back to Phoenix Footwear of Escrow Shares for the amount required to be paid to the Escrow Agent based on the Parent Stock Price for the period five days Such amount shall be treated as though a Pro Rata Share thereof has been paid by each Former H.S. Trask Stockholder and such Pro Rata Share shall be credited against the amount otherwise distributable to the Former H.S. Trask Stockholders hereunder. In the event that the Escrow Agent renders any service hereunder not provided for herein or there is any assignment of any interest in the subject matter of the Escrow Fund or modification hereof, the Escrow Agent shall be reasonably compensated for such extraordinary services by the party that is responsible for or requests such services and if made by the Stockholder Representative, payment shall be made out of the Escrow Fund in the same manner as provided above.
