Compliance by Third Parties. Licensee shall take all steps reasonably necessary to ensure that its distributors and any other parties to whom it sells any of the Manufactured Products for resale do not relabel, repackage, advertise, sell or attempt to sell MANAPOL[R] powder or any of the Manufactured Products in a manner that would violate this Agreement if done by Licensee.
Compliance by Third Parties. Independent Sales Representative agrees to take all steps reasonably necessary to ensure that its representatives comply with all applicable rules and regulations of the FDA and all other applicable laws, rules and regulations, including but not limited to FDA requirements relating to the sale of 510(k) regulated products.
Compliance by Third Parties. Eventus International shall take all steps reasonably necessary to ensure that its distributors and any other parties to whom it sells any of the Manapol[R] Powder for resale do not relabel, repackage, advertise, sell or attempt to sell the Manapol[R] Powder in a manner that would violate this Agreement if done by Eventus International.
Compliance by Third Parties. Licensee shall take all steps reasonably necessary to ensure that its distributors, if any, and any other parties to whom it sells any of the OFI Manufactured Products for resale do not relabel, repackage, advertise, sell or attempt to sell Manapol[R] powder or any of the OFI Manufactured Products in a manner that would violate this Agreement if done by Licensee.
Compliance by Third Parties. Obligor has made written inquiry of each of its key suppliers, vendors, and customers, and has obtained in writing confirmations from all such persons, as to whether such persons have initiated programs to become Year 2000 Compliant and on the basis of such confirmations, Obligor reasonably believes that all such persons will be or become so compliant. For purposes hereof, "key suppliers, vendors, and customers" refers to those suppliers, vendors, and customers of Obligor whose business failure would, with reasonable probability, result in a material adverse change in the business, properties, condition (financial or otherwise), or prospects of Obligor. For purposes of this paragraph, Banc One, as a party to the Credit Facility, confirms to Obligor that Banc One has initiated its own corporate-wide Year 2000 program with respect to its extension of credit activities.
Compliance by Third Parties. ACI shall take all steps reasonably necessary to ensure that its distributors and any other parties to whom it sells any of the bulk raw material for resale do not relabel, repackage, advertise, sell or attempt to sell the bulk raw material in a manner that would violate this Agreement if done by ACI.
Compliance by Third Parties. OFI shall take all steps reasonably necessary to ensure that its distributors and any other parties to whom it sells any of the Manapol[R] Powder for resale do not relabel, repackage, advertise, sell or attempt to sell the Manapol[R] Powder in a manner that would violate this Agreement if done by OFI.
Compliance by Third Parties. Seller shall take all steps reasonably necessary to ensure that its distributors and any other parties to whom it sells any of the Product for resale do not relabel, repackage, advertise, sell or attempt to sell the Product in a manner that would violate this Agreement if done by Buyer.
Compliance by Third Parties. The Borrower has made written inquiry of Unisource Worldwide, Inc. and has obtained in writing confirmation from it as to whether it has initiated programs to become Year 2000 Compliant and on the basis of such confirmation, Borrower reasonably believes that it will be or become so compliant. Borrower warrants that Unisource Worldwide, Inc. is the only supplier or vendor of the Borrower whose business failure would, with reasonable probability, result in a material adverse change in the business, properties, conditions (financial or otherwise) or prospects of the Borrower.
Compliance by Third Parties. Licensee shall take all steps reasonably necessary to ensure that its independent distributors and any other parties to whom it sells any of the ACI Manufactured Products for resale, do not relabel, repackage, advertise, sell or attempt to sell Manapol Powder or any of the ACI Manufactured Products in a manner that would violate this Agreement if done by Licensee.
