Common use of Compliance Oversight Clause in Contracts

Compliance Oversight. Subadviser agrees to cooperate with periodic reviews of Subadviser’s compliance program by the Fund’s compliance personnel in performance of their responsibilities under Rule 38a-1 of the 1940 Act. Subadviser agrees to provide to the Fund copies of its compliance program and such additional information and certifications as may reasonably be requested by the Fund’s compliance personnel. Subadviser agrees to promptly notify the Adviser of any material compliance violations which affect the Fund.

The Subadviser agrees to cooperate with periodic reviews of the Subadviser’s compliance program by the Fund’s compliance personnel in performance of their responsibilities under Rule 38a-1 of the 1940 Act. The Subadviser agrees to provide to the Fund copies of its compliance program and such additional information and certifications as may reasonably be requested by the Fund’s compliance personnel. The Subadviser agrees to promptly notify the Adviser of any material compliance violations by the Subadviser which affect the Fund.

Subadviser agrees to promptly notify the Adviser of any material compliance violations which affect the FundFunds.

Subadviser agrees to promptly notify the Adviser of any material compliance violations which affect the FundFund on a quarterly basis or with such other frequency as determined to be necessary.

Subadviser Subadvisor agrees to cooperate with periodic reviews of SubadviserSubadvisor’s compliance program by the Fund’s Funds’ compliance personnel in performance of their responsibilities under Rule 38a-1 of the 1940 Act. Subadviser Subadvisor agrees to provide to the Fund Funds copies of its compliance program and such additional information and certifications as may reasonably be requested by the Fund’s Funds’ compliance personnel. Subadviser Subadvisor agrees to promptly notify the Adviser Advisor of any material compliance violations which affect the FundFunds.

Subadviser Subadvisor agrees to provide to the Fund Funds copies of its compliance program and such additional information and certifications as may reasonably be requested by the Fund’s Funds' compliance personnel. Subadviser Subadvisor agrees to promptly notify the Adviser of any Advisor ofany material compliance violations which affect the FundFunds.

Subadviser Subadvisor agrees to provide to the Fund Corporation copies of its compliance program and such additional information and certifications as may reasonably be requested by the FundCorporation’s and Advisor’s compliance personnel. Subadviser Subadvisor agrees to promptly notify the Adviser Advisor of any material compliance violations which affect the Fund.
