Compliance with Contracts and Credit and Collection Policies. Such Seller Party will timely and fully (i) perform and comply with all provisions, covenants and other promises required to be observed by it under the Contracts related to the Receivables, and (ii) comply in all material respects with its respective Credit and Collection Policy in regard to each Receivable and any related Contract.

Such Originator will timely and fully (i) perform and comply with all provisions, covenants and other promises required to be observed by it under the Contracts related to the Receivables of such Originator and (ii) comply in all respects with the Credit and Collection Policy in regard to each Receivable and the related Contract.

Such Borrower Party will (and will cause each Originator to) timely and fully (i) perform and comply in all material respects with all provisions, covenants and other promises required to be observed by it under the Contracts related to the Purchased Receivables, in each case to the same extent as though such Contracts had not been transferred to the Agent and (ii) comply in all material respects with the applicable Credit and Collection Policies in regard to each Receivable and the related Contract.

FIFTH AMENDED AND RESTATED RECEIVABLES PURCHASE AGREEMENT Performance and Enforcement of Receivables Sale Agreements. Each Seller will, and will require each Originator party thereto to, perform each of their respective obligations and undertakings under and pursuant to the Receivables Sale Agreement to which it is a party, will purchase Receivables thereunder in strict compliance with the terms thereof and will vigorously enforce the rights and remedies accorded to such Seller under such Receivables Sale Agreement. Each Seller will take all actions to perfect and enforce its rights and interests (and the rights and interests of the Agent and the Purchasers as assignees of Seller) under the Receivables Sale Agreement to which it is a party as the Agent may from time to time reasonably request, including, without limitation, making claims to which it may be entitled under any indemnity, reimbursement or similar provision contained in such Receivables Sale Agreement.

Morningstar will timely and fully (i) perform and comply with all provisions, covenants and other promises required to be observed by it under the Writings or Contracts related to the Receivables and (ii) comply in all material respects with the Credit and Collection Policy in regard to each Receivable and the related Writing or Contract.

The Borrower will (and will cause each Originator to) timely and fully (i) perform and comply with all material provisions, covenants and other promises required to be observed by it under the Contracts related to the Receivables and (ii) comply in all material respects with the Credit and Collection Policies in regard to each Receivable and the related Contract.

The Borrower shall exercise any rights it may have under the Receivables Transfer Agreement to cause each Originator to perform and comply in all material respects with all provisions, covenants and other obligations required to be observed by such Originator under the Contracts related to the Transferred Receivables. The Servicer shall comply in all material respects with the applicable Originator’s Credit and Collection Policy in regard to each Transferred Receivable and the related Contract.
