Compliance with Laws and Company Policies. The Contractor and its Representatives shall comply with (a) all laws, rules and regulations of any governmental or regulatory body having jurisdiction over any aspect or part of the Services (collectively, “Applicable Law”), (b) all reasonable orders and directions given by the Representatives of the Company and (c) all policies of the Company that apply to the Contractor or the Services and that have been provided to the Contractor. Without limiting the generality of the foregoing, the Contractor and its Representatives shall execute and comply with the Company’s Supplier Standards of Conduct, attached hereto as Schedule C, which forms an integral part of this Agreement.
Compliance with Laws and Company Policies. The Investors acknowledge that Company may request the Existing Designees and any Additional Designee to agree in writing, during the term of service as a director of Company, to (a) comply with all laws, policies, procedures, processes, codes, rules, standards and guidelines applicable to members of the Board, including Company’s code of conduct, xxxxxxx xxxxxxx policy, Regulation FD policy, related party transactions policy and corporate governance guidelines, in each case as amended from time to time; and (b) keep confidential all confidential information of Company and not disclose to any third party (including the Investors) any discussions or matters considered in meetings of the Board and its committees (unless such discussion or matters have been previously disclosed publicly by Company).
Compliance with Laws and Company Policies. The Consultant agrees that, in the performance of the Services under this Agreement, he shall comply with all applicable laws, statutes, judgments, rules, regulations, ordinances, orders, decrees, permits, licenses, and other legal requirements of any governmental authority or judicial court, now in effect or hereafter promulgated, and any judicial or administrative interpretation thereof. Consultant shall also comply with all applicable policies of the Company relating to business and conduct in connection with the Services.
Compliance with Laws and Company Policies. The Xxxx Xxx Group acknowledges that the New Director will be governed by the same laws, policies, procedures, processes, codes, rules, standards and guidelines applicable to members of the Board, including Company’s code of conduct, xxxxxxx xxxxxxx policy, Regulation FD policy, related party transactions policy and the Guidelines, in each case in effect and as amended from time to time.
Compliance with Laws and Company Policies. The Xxxxxxx Signatories acknowledge that the New Directors will be governed by the same laws, policies, procedures, processes, codes, rules, standards and guidelines applicable to members of the Board, including Company’s corporate governance guidelines, code of business conduct and ethics, xxxxxxx xxxxxxx policy, Regulation FD policy and related party transactions policy, in each case in effect and as amended from time to time (collectively, the “Company Policies”). The Xxxxxxx Signatories acknowledge that, unless otherwise informed by Company in writing, (a) they do not have the right to receive confidential information concerning the Company from the New Directors; and (b) neither Company nor the Board has authorized either of the New Directors to share any such confidential information with any member of the Xxxxxxx Group.
Compliance with Laws and Company Policies. (a) Consultant agrees to comply with all laws, rules, and regulations that apply to the performance of the Services, including, but not limited to the Foreign Corrupt Practices Act and the U.K. Bribery Act.
Compliance with Laws and Company Policies. Oaktree acknowledges that the Oaktree Designee (and any Replacement Oaktree Designee, as applicable), upon appointment to the Board, will be governed by the same laws, policies, procedures, processes, codes, rules, standards and guidelines applicable to members of the Board, including Company’s code of conduct, xxxxxxx xxxxxxx policy, Regulation FD policy, related party transactions policy and the Guidelines, in each case in effect and as amended from time to time.
Compliance with Laws and Company Policies. Consultant agrees to comply with all applicable laws and regulations in performing the Consulting Services and shall not discriminate and/or harass any employee, customer, client, vendor, or potential customer, client or vendor of the Company in violation of any federal, state or local law or ordinance. The Consultant also agrees to report to the Company any complaint of discrimination, harassment, or other misconduct that the Consultant becomes aware of in connection with the performance of services under this Agreement. If the Company elects to provide a Company e-mail account to Consultant, Consultant acknowledges and agrees that (i) it will be used exclusively for business purposes in accordance with Company policies, (ii) the content of e-mail messages sent or received on a Company e-mail account (as well as any electronic devices provided by the Company to Consultant for purposes of accessing its Company e-mail account) constitute Company property, and (iii) Consultant waives any privacy claims relating to the Company’s access to such messages.
Compliance with Laws and Company Policies. JDS1 will cause the New Director to, if requested by Company, agree in writing, during the term of any service as a director of Company, to (a) comply with all laws, policies, procedures, processes, codes, rules, standards and guidelines applicable to members of the Board, including, without limitation, Company’s code of conduct, xxxxxxx xxxxxxx policy, Regulation FD policy, related party transactions policy and corporate governance guidelines, in each case as amended from time to time; and (b) keep confidential all confidential information of Company and not impermissibly disclose any discussions or matters considered in meetings of the Board and its committees, unless previously disclosed publicly by Company.
Compliance with Laws and Company Policies. The Investors understand that, as a condition to the nomination of Xx. Xxxxxxx as a director, the Company may require Xx. Xxxxxxx, to the extent such requirements have historically and customarily been applied to non-employee directors of the Company, to agree in writing, during the term of any service as a director of the Company, to (a) comply with all policies, procedures, processes, codes, rules, standards and guidelines applicable to members of the Board, including, without limitation, the Company’s code of conduct, xxxxxxx xxxxxxx policy, Regulation FD policy, related party transactions policy and corporate governance guidelines, in each case as amended from time to time; and (b) keep confidential and not publicly disclose discussions and matters considered in meetings of the Board and its committees or other confidential information of the Company that Xx. Xxxxxxx receives from the Company, unless previously disclosed publicly by the Company.
