Compliance with Laws and Regulatory Consents. From the date hereof until the Closing, (a) each party will comply with all applicable statutes, laws, ordinances and regulations, (b) each party will keep, hold and maintain all Licenses, (c) each party will use its reasonable efforts and will cooperate fully with the other parties hereto to obtain all consents, stockholder and other approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the Merger, and (d) each party will make and cause to be made all filings and give and cause to be given all notices which may be necessary or desirable on their part under all applicable laws and under their respective contracts, agreements and commitments in order to consummate the Merger.
Compliance with Laws and Regulatory Consents. From the date hereof through Closing: (1) Seller shall comply with all applicable statutes, laws, ordinances and regulations; (2) Seller shall keep, hold and maintain all certificates, accreditations, participations, licenses, and other permits necessary for operation of the Facility; (3) Seller shall use reasonable efforts and shall cooperate with Buyer to obtain all consents, approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the transactions contemplated by this Agreement; and (4) Seller shall make and cause to be made all filings and give and cause to be given all notices which may be necessary or desirable under all applicable laws and under applicable contracts, agreements and commitments in order to consummate the transactions contemplated by this Agreement.

Until the Closing, (a) Seller shall comply with all applicable statutes, laws, ordinances and regulations, (b) Seller shall keep, hold and maintain all certificates, registrations, accreditations, participations, licenses, and other permits necessary for the business and operation of the Assets, (c) Seller and Shareholders shall use their best efforts and shall cooperate fully with Buyer to obtain all consents, approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the transactions contemplated under this Agreement, and (d) Seller and Shareholders shall make and cause to be made all filings and give and cause to be given all notices which may be necessary or desirable under all applicable laws and under applicable contracts, agreements and commitments in order to consummate the transactions contemplated under this Agreement.

From the date hereof through Closing, (a) Ventures will comply with all applicable statutes, laws, ordinances and regulations, where the failure to comply would likely have a material adverse effect upon Ventures, (b) Ventures will keep, hold and maintain all material Licenses necessary for the Business and operation of the Assets, (c) the Shareholders and Ventures will use their reasonable efforts to obtain all consents, approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the transactions contemplated by this Agreement, and (d) the Shareholders and Ventures and Merger Subsidiary will make and cause to be made all filings and give and cause to be given all notices which may be necessary on their parts, respectively, under all applicable laws and under their respective contracts, agreements and commitments in order to consummate the transactions contemplated under this Agreement.

From the date -------------------------------------------- hereof until the Closing, Seller shall (i) comply in all material respects with all applicable statutes, laws, ordinances and regulations; (ii) keep, hold and maintain all material certificates, certificates of need, certificates of exemption, accreditations, participations, licenses, and other permits necessary for the business and operation of the Acquired Assets; (iii) use its commercially reasonable efforts to obtain all consents, approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the transactions contemplated by this Agreement; (iv) make and cause to be made all filings and give and cause to be given all notices which may be necessary or desirable on its part under all applicable laws and under its contracts, agreements and commitments in order to consummate the transactions contemplated by this Agreement; and (v) use its commercially reasonable efforts to consummate the transactions contemplated by this Agreement and the agreements and documents to be executed in connection with this Agreement.

From the date hereof until the Closing, (a) Company shall comply with all applicable statutes, laws, ordinances and regulations, (b) Shareholders and Company shall use their reasonable efforts and shall cooperate fully with Buyer to obtain all consents, approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the transactions contemplated by this Agreement, and (c) Shareholders and Company shall make and cause to be made all filings and give and cause to be given all notices which may be necessary or desirable on their part under all applicable laws and under their respective contracts, agreements and commitments in order to consummate the transactions contemplated under this Agreement.

From the date hereof until the Closing, (a) Geri-Xxxe and Scripts shall comply with all applicable statutes, laws, ordinances and regulations, (b) Geri-Xxxe and Scripts shall keep, hold and maintain all certificates, certificates of need, certificates of exemption, accreditations, participation, licenses, and other permits necessary for the business and operation of the Assets, (c) Shareholders, Geri-Xxxe and Scripts shall use their reasonable efforts and shall cooperate fully with Parent to obtain all consents, approvals, exemptions and authorizations of third parties, whether governmental or private, necessary to consummate the transactions contemplated by this Agreement, and (d) Shareholders, Geri-Xxxe and Scripts shall make and cause to be made all filings and give and cause to be given all notices which may be necessary or desirable on either's part under all applicable laws and under their respective contracts, agreements and commitments in order to consummate the transactions contemplated by this Agreement.
Compliance with Laws and Regulatory Consents. Except for items listed or described on Schedule 6.8 that may be continuous in nature, comply with all statutes, laws, ordinances and regulations including, but not limited to Environmental Laws, except in each case as would not have a Material adverse effect on the Purchased Assets or on the results of the operations of the Business; hold and maintain all Permits necessary for the operation of the Business and the Purchased Assets except for those Permits as to which the failure to hold and maintain would not have a Material adverse effect on the Business or the Purchased Assets; and make and cause to be made all filings and give and cause to be given all notices which may be necessary on its part under the Leases and Contracts in order to consummate the transactions contemplated by this Agreement.
Compliance with Laws and Regulatory Consents. From the date hereof until the Closing, Seller shall cause the Company to comply with all applicable statutes, laws ordinances and regulations; keep, hold and maintain all certificates, accreditations, licenses, and other permits necessary for the business and operation of the Hospital; and shall use best efforts to consummate the transactions contemplated by this Agreement and the agreements and documents to be executed in connection with this Agreement as soon as is practicable.
