Compliance with Operative Documents. Do or permit (to the extent within its control) to be done in, upon or about any Project or Turbine or any part thereof, or do or permit (to the extent within its control) to be done any act under the Operative Documents, or omit or refrain from any act under the Operative Documents, where such act done or permitted to be done, or such omission of or refraining from action, could reasonably be expected to have a Material Adverse Effect on Borrower a Funded Project.
Compliance with Operative Documents. Borrower shall not (nor shall Borrower allow any Project Company to) permit (to the extent within its control and permitted by the Operative Documents) to be done any act under the Operative Documents, or omit or refrain (to the extent within its control and permitted by the Operative Documents) from any act under the Operative Documents, where such act done or permitted to be done, or such omission of or refraining from action, that could be reasonably expected to have a Material Adverse Effect.

Each of the Trust, Trustee and Trust Company shall at all times observe and perform all of the covenants, conditions and obligations required to be performed by it (whether in its capacity as the Trust or Trustee, as the case may be, or in its individual capacity or otherwise) under each Operative Document to which it is a party.

The Borrower shall not, and shall cause each Loan Party not to, do any act under the Operative Documents, or omit or refrain (to the extent possible by utilizing commercially reasonably efforts and permitted by the Operative Documents) from any act under the Operative Documents, where such act done or permitted to be done, or such omission of or refraining from action, could reasonably be expected to have a Material Adverse Effect.
Compliance with Operative Documents. From the date hereof until the Closing with respect to each Partnership Interest, the Sellers agree that they will comply with the terms of the Partnership Agreement (and any related operative documents with respect to the Partnership Agreements to which a Seller is a party) with respect to such Partnership Interest. From the date hereof until the Closing with respect to each Partnership Interest, the Sellers shall not enter into any agreements, amendments of any agreements or waivers with respect to any Partnership Interest without Buyer’s consent and each Seller shall consult with Buyer in connection with any voting matters with respect to any Partnership Interest; provided that if the applicable Seller and Buyer fail to reach an agreement regarding a matter for which either Seller’s vote is required, such Seller shall vote as it deems appropriate.

Do or permit Subsidiary Guarantors or Funded Project Entities (to the extent possible by utilizing commercially reasonably efforts, including by Voting, and permitted by the Operative Documents) to do any act under the Operative Documents, or omit or refrain (to the extent possible by utilizing commercially reasonable efforts, including by Voting, and permitted by the Operative Documents) from any act under the Operative Documents, where such act done or permitted to be done, or such omission of or refraining from action, could reasonably be expected to have a Material Adverse Effect. 6.15
Compliance with Operative Documents. The Lessee hereby represents and warrants that it is in full compliance with all terms, conditions, covenants, agreements, stipulations, representations and warranties under the Operative Documents, as amended hereby, to which it is a party or by which it is bound, and the Lessee hereby reaffirms the same as of the date hereof. The Lessee covenants and agrees to perform and observe all covenants, agreements, stipulations and conditions on its part to be performed under the Operative Documents, as amended hereby. To the best of the knowledge of the Lessee, neither the Lender nor the Lessor is in default under any of the Operative Documents and no event has occurred and no condition exists which, with the giving of notice or the lapse of time or both, would constitute a default under any of the Operative Documents by any of the parties hereto.

The Lessor shall at all times observe and perform all of the covenants, conditions and obligations required to be performed by it (whether in its capacity as the Lessor or in its individual capacity or otherwise) under each Operative Document to which it is a party.
