Condition Precedent to Loans. The obligation of the Bank to make initial Loans to the Borrower pursuant to the Commitment is subject to the conditions precedent that the Bank shall have received, or waived in writing the obligation to receive, on or before the Closing Date each of the following, in form and substance satisfactory to the Bank and its counsel (collectively the "Initial Conditions Precedent"):
