Condition to Agreement. The agreements and covenants ---------------------- contained herein are subject, in their entirety, to the receipt of the requisite consent or waiver of the lenders referred to in Section 4.3 hereof.
Condition to Agreement. The terms and provisions of this Agreement are expressly conditioned upon, and subject to, the closing of the IPO Transactions.
Condition to Agreement. PMI and Licensee understand and agree that bids from PMI’s lender members in the marketplace for the secondary trading of notes may only be made by residents of a state that either has declared PMI’s registration statement effective or has an exemption from registration that is applicable to such activity; provided, however, that before bids from PMI lender members in the marketplace for the secondary trading of notes may be made by residents of a state that has an exemption from registration that is applicable to such activity, PMI must provide Customer a certification by its General Counsel attesting to the availability of the exemption.
Condition to Agreement. PMI and Folio understand and agree that bids from P2P Platform members in the marketplace for the secondary trading of Notes may only be made by residents of a state that either has declared PMI’s registration statement effective or has an exemption from registration that is applicable to such activity; provided, however, that before bids from P2P Platform members in the marketplace for the secondary trading of Notes may be made by residents of a state that has an exemption from registration that is applicable to such activity, PMI must provide Folio a certification by its General Counsel or Secretary attesting to the availability of the exemption.
Condition to Agreement. Petitioners understand and agree that this Agreement may be subject to final approval by City officers, boards, commissions, or other City entities or officials. The execution of this Agreement by City and Petitioners is subject to and conditioned upon the granting of all such approvals needed to make this Agreement final and binding. The person signing this Agreement on behalf of City will recommend that this Agreement be so approved.
Condition to Agreement. This Transfer Agreement is conditioned on the issuance by the Commission of an Order that becomes a Final Order as provided in the Settlement Agreement.
Condition to Agreement. The obligations of the Parties under this Agreement are conditioned on completion of the facility transfers contemplated in subparagraphs 2.c.i.A(3), 2.c.i.B(2), 2.c.i.B(3) and 2.c.i.B(4) of the Transfer Agreement as provided in the Transfer Agreement.
Condition to Agreement. As a condition to the effectiveness of this Agreement, Management Contractor shall execute and deliver to Port the “Nondiscrimination in Contracts and Benefits” form approved by the San Francisco Human Rights Commission.
Condition to Agreement. As a condition to this Agreement, the Corporation shall execute the “Chapter 12B Declaration: Nondiscrimination in Contracts and Benefits” form (Form HRC-12B-101) with supporting documentation and secure the approval of the form by the San Francisco Human Rights Commission.
Condition to Agreement. Heber Light & Power’s obligations under this Agreement are conditioned on completion of the facility and customer transfers contemplated in the Agreement for the Transfer of Distribution Facilities and Customers (“Transfer Agreement”) attached as Appendix 7 to the Settlement Agreement.
