CONDITIONS OF COVERAGE AND PAYMENT OF DUES. A. ENROLLMENT 1. Enrollment of a Subscriber An eligible Applicant becomes a Subscriber under this Agreement upon notification by Blue Shield that his or her properly completed application for enrollment has been approved by Blue Shield. 2. Enrollment in Blue Shield’s Household Sav- ings Program Any two individuals living in the same House- hold, and sharing the same mailing address, who are enrolled for coverage in the same Med- icare Supplement Plan are eligible for a 7% monthly savings on the Household’s combined premiums. Each Applicant in a Household must be individually eligible and must be at least 65 years old in order to take advantage of the savings program. Applicants need not apply at the same time for the Medicare Supplement Plan in order to qualify for the 7% savings. a. Limitations and Definitions Applicable to the Household Savings Program

The Subscriber must be a resident of one of the following counties in the State of California: Alameda, Alpine, Xxxxxx, Butte, Calaveras, Colusa, Contra Costa, Del Norte, El Dorado, Fresno, Xxxxx, Humboldt, Kings, Lake, Las- sen, Madera, Marin, Mariposa, Mendocino, Merced, Modoc, Mono, Monterey, Napa, Ne- xxxx, Placer, Plumas, Sacramento, San Xxxxxx, San Francisco, San Xxxxxxx, San Mateo, Santa Xxxxx, Santa Xxxx, Xxxxxx, Sierra, Siskiyou, Xxxxxx, Sonoma, Stanislaus, Sutter, Xxxxxx, Xxxxxxx, Tuolumne, Xxxx and Xxxx. 2.   • Conditions Precedent to Obligations of the Company The obligations of the Company to effect the Merger and otherwise consummate the transactions contemplated by this Agreement are subject to the satisfaction, at or prior to the Closing, of the following conditions:

  • CONDITIONS PRECEDENT TO OBLIGATIONS OF SELLER The obligation of Seller to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction, on or before the Closing Date hereunder, of each of the following conditions, all or any of which may be waived, in whole or in part, by Seller.

  • Conditions of Payment All services provided by the Contractor under Work Authorizations must be performed to the State’s satisfaction, as determined at the sole discretion of the State’s Authorized Representative and in accordance with all applicable federal, state, and local laws, ordinances, rules, and regulations including business registration requirements of the Office of the Secretary of State. The Contractor will not receive payment for work found by the State to be unsatisfactory or performed in violation of federal, state, or local law.

  • CONDITIONS PRECEDENT TO OBLIGATIONS OF THE BUYER The obligations of the Buyer to consummate the transactions contemplated by this Agreement are subject to the satisfaction (or waiver by the Buyer in writing) of the following conditions as of the Closing Date:
