Conditions Precedent to Drawing. 4.1 The Bank may not release the Housing Loan or any part of it unless the Bank is satisfied that the following have been fulfilled: (a) the conditions set out in the Letter of Offer and/or this Agreement, (b) [the additional conditions precedent set out in the Letter of Offer and/or the Second Schedule of this Agreement]; and (c) no Event of Default has occurred. Section 4.2 Cancellation of the Housing Loan 4.2 If the Borrower does not comply with any condition within the time stated by the Bank, the Bank is entitled to cancel the Housing Loan. Section 4.3 Waiver of Conditions 4.3 The conditions in the Letter of Offer and/or this Agreement are inserted for the sole benefit of the Bank and may be waived by the Bank. Such waiver does not prevent the Bank from later demanding the Borrower to comply with any or all of the waived conditions within any period notified by the Bank to the Borrower. A waiver of any condition precedent is not a waiver of other conditions precedent unless expressly stated.
Conditions Precedent to Drawing. 3.1 The Bank is entitled not to release any part of the Facility unless it has satisfactory evidence of the conditions set out in the Letter of Offer and/or this Agreement has been fulfilled. Section 3.2
Conditions Precedent to Drawing. The Borrower may only draw under the Credit in accordance with the terms set out in Article IV below when the following conditions have been fulfilled to the satisfaction of the Lenders and provided no Event of Default shall have occurred and be continuing: (a) WITHIN 45 DAYS OF THE EXECUTION OF THIS AGREEMENT: (1) Receipt by SOCIETE GENERALE acting on behalf of the Lenders of an opinion of legal counsel to the Lenders as to Liberian law, together with the corporate documentation of the Borrower supporting the opinion, including the Articles of Association and By-laws as filed with the competent authorities, to the effect that: (i) the Borrower has been duly organized and is validly existing in good standing as a corporation under the law of the Republic of Liberia; (ii) this Agreement falls within the scope of the Borrower's corporate purpose as defined by its Articles of Association and By-laws; (iii) the Borrower's representatives named in the opinion were at the date of this Agreement fully empowered to sign this Agreement; (iv) either all administrative requirements applicable to the Borrower (whether in Liberia or elsewhere), concerning the transfer of funds abroad and acquisitions of Dollars to meet its obligations hereunder have been complied with, or that there are no such requirements; and (v) this Agreement is the legal, valid and binding obligation of the Borrower enforceable in accordance with its terms (containing such exceptions as are standard for opinions of this type). (2) Receipt by XXXXXXX GENERALE acting on behalf of the Lenders of an executed copy of the Contract. (b) NO LATER THAN TEN (10) BANKING DAYS BEFORE THE INTENDED DELIVERY DATE: (1) Receipt by XXXXXXX GENERALE acting on behalf of the Lenders of notification from the Borrower of the Intended Delivery Date. (2)
Conditions Precedent to Drawing. The right of the Borrower to give a Drawdown Notice and the obligations of the Lender under this Agreement are subject to the condition precedent that the Lender receives all of the following in each case in form and substance satisfactory to the Lender:
