Conditions to the Investors’ Obligations at the Initial Closing. The obligation of the Investor to deliver the Initial Purchase Price Payment at the Initial Closing is subject to the fulfillment or waiver (to the extent, and only to the extent, permissible by applicable Law) by the Investor on or before the Initial Closing Date of each of the following conditions:
