CONFIDENTIALITY AND NONCOMPETE AGREEMENT. 4.1 Upon the execution of this Agreement, the Employee hereby acknowledges and agrees to be bound by the terms and conditions of the "Confidentiality and Noncompete Provisions" attached to this Agreement.
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. Employee agrees to be bound by the terms of the Confidentiality and Noncompete Agreement which are attached as Exhibit A and incorporated by this reference ("Proprietary and Noncompete Agreement").
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. (i) Kerz acknowledges and agrees that the Company and its subsidiaries have developed and are currently providing to hospitals, health care institutions and third-party payors throughout the United States a number of unique and proprietary technology-based products. By reason of the services rendered by Kerz during the course of his employment, he has acquired and has been given access to secret and confidential information concerning these products and systems and the proprietary methods and processes by which these systems are installed and operated by the Company and its subsidiaries in the Company's client institutions. Kerz further acknowledges that these systems, and the method of installation and operation of these systems, are unique, secret
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. Executive shall sign and be bound by a confidentiality and non-compete agreement in Employer's current standard form (attached as Exhibit B).
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. The Executive acknowledges that in the course of his employment by the Company or Imperial, he will have access to and become informed of confidential and secret information which is a competitive asset of the Company or Imperial ("Confidential Information"), including, without limitation, (i) the terms of any agreement between the Company or Imperial and any employee, customer or supplier, (ii) pricing strategy, (iii) merchandising and marketing methods, (iv) product development ideas and strategies, (v) personnel training and development programs, (vi) financial results, (vii) strategic plans and demographic analyses, (viii) proprietary computer and systems software, and (ix) any nonpublic information concerning the Company or Imperial, its employees, suppliers or customers. The Executive agrees that he will at all times keep all Confidential Information in strict confidence and will not intentionally make known, divulge, reveal, furnish, make available, or use any Confidential Information that could materially affect the Company's or Imperial's operations, profitability or reputation (except in the course of his regular authorized duties on behalf of the Company or Imperial). The Executive may disclose information as required by law (after giving the Company or Imperial notice and an opportunity to contest such requirement). The Executive's obligations under this Section 9(a) are in addition to, and not in limitation of or preemption of, all other obligations of confidentiality which the Executive may have to the Company or Imperial under general legal or equitable principles.
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. 4.1. Upon the execution of this Agreement, the Employee hereby acknowledges and agrees to be bound by the terms and conditions of the "Confidentiality and Noncompete Provisions" attached to this Agreement.
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. The Executive, in exchange for the undertakings of this Agreement, agrees that, within the geographical area of any county in any state wherein the Company, as of the Separation Date, owns and operates pay telephones (the "Territory") and until midnight on July 29, 1997:
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. Attached hereto as Exhibit C is the standard Company Key Person Employment Agreement, Confidentiality Agreement and Covenant Against Competition, which is incorporated herein by reference and made a term hereof. Executive agrees that, by execution of this Agreement, he has agreed to abide by all the terms and conditions of such agreement.
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. Chesxxx Xxxxx shall execute and deliver to Buyer a Confidentiality and Noncompete Agreement in the form attached hereto as Exhibit 7.6."
h. Paragraph 8.6 is hereby deleted in its entirety.
i. The heading of paragraph 8.9 is hereby amended to read "Confidentiality and Employment Agreements".
CONFIDENTIALITY AND NONCOMPETE AGREEMENT. THIS CONFIDENTIALITY AND NONCOMPETE AGREEMENT is made and entered into as of the 29th day of August 2013, by and between SAJAN, INC., a Delaware corporation (the “Company”), and XXXXXX X. XXXXX (the “Employee”).
