Confirmatory License. To the extent ▇▇▇▇ has any ownership rights in (a)-(d) below, ▇▇▇▇ grants and Licensee accepts a worldwide, perpetual, irrevocable, fully - paid, royalty-free, exclusive license, with the right to sublicense through multiple tiers, to any rights ▇▇▇▇, OSU or its Affiliates may have in (a) the patents and patent applications identified in Appendix 6, (b) patent applications that claim priority to the patents and patent applications in (a), including all divisionals, continuations and continuations-in-part (but only to the extent of the subject matter that is fully disclosed and enabled by (a) to satisfy 35 U.S.C. §112); (c) patents issuing on (a) and/or (b); (d) reissues, reexaminations, extensions, foreign counterparts and supplementary protection certificates referencing any of the foregoing. Notwithstanding and without limiting the foregoing license, ▇▇▇▇ shall provide Licensee reasonable assistance, at Licensee’s expense, to perfect Licensee’s rights in such foregoing patents and applications, including submissions to NIH or other federal agency required to perfect assignment pursuant to ▇▇▇▇-▇▇▇▇ Act statutory provisions and related regulations. Notwithstanding the foregoing, ▇▇▇▇ makes no representations in this Section 2.3 as to its ownership rights in (a)-(d) of this Section 2.3.
Confirmatory License. Takeda shall, if requested to do so by ▇▇▇▇▇, promptly enter into a confirmatory license in a form reasonably requested by ▇▇▇▇▇ for purposes of recording the licenses granted under this Agreement with such patent offices or other Regulatory Authorities as ▇▇▇▇▇ considers appropriate.

Confirmatory License. University grants to Company, and Company accepts, a non- exclusive, royalty free, worldwide, paid-up license, to: a) make, use and sell any Developments disclosed to University’s Innovation Partnership Services (“IPS”) (“Disclosed Developments”) that are inventions; and b) copy, perform, create derivatives of and distribute any Disclosed Developments that are works of authorship in accordance with the terms and conditions of this Agreement. This license includes the right of sublicense to Affiliates. “Affiliates” means (i) any corporation, company, or other entity in which Company directly or indirectly owns or controls at least fifty-one percent (51%) of the stock entitled to vote in election of the board of directors or (ii) any corporation, company, or other entity that directly or indirectly owns or controls at least fifty-one percent (51%) of the stock of Company entitled to vote in the election of directors. This license continues until (i) the expiration of the last expiring patent covering the Subject Invention or (ii) in the case a Work of Authorship, on expiration of copyright.
Confirmatory License. KemPharm shall, if requested to do so by Company, immediately enter into a confirmatory license in the form reasonably requested by Company for purposes of recording the licenses granted under this Agreement with such patent offices or other Regulatory Authorities as Company considers appropriate.
Confirmatory License. Licensor shall, if requested to do so by Licensee, promptly enter into one or more confirmatory license agreements in such form as may be reasonably requested by Licensee for purposes of recording the licenses and rights granted under this Agreement with such Governmental Authorities, including patent and trademark offices, as Licensee deems appropriate so long as any rights of the Licensor are not negatively affected.
