Rights of the Licensor. (1) The Licensor has the right to inspect the cafeteria premises as well as the actual services provided. This inspection may be made at any time, without prior notice. The Licensor shall perform the inspection in a manner that will not unduly delay the work of the Licensee. These inspections may include, but are not limited to, a comprehensive review of the following:
1. Service quality, attentiveness, courtesy, and similar factors
2. Food quality, presentation, merchandising
3. Sanitary practices and conditions
4. Personnel appearance
5. Training program techniques, schedules and records
6. Menu compliance, as indicated in the minimum acceptable menu profile
(2) Premises of the Licensee may be inspected, at no charge to the Licensor. The Licensee shall provide all reasonable facilities and assistance for the safe and convenient performance of these duties.
(3) The Regional Medical Officer (RMO), the Licensor’s Technical Representative and/or professional health and food service inspectors shall perform periodic inspections to assure compliance with Agreement requirements and industry standards.

(2) Premises of the Licensee may be inspected, at no charge to the Licensor. The Licensee shall provide all reasonable facilities and assistance for the safe and convenient performance of these duties.
(3) The Regional Medical Officer (RMO), the Licensor’s Technical Representative and/or professional health and food service inspectors shall perform periodic inspections to assure compliance with Agreement requirements and industry standards.
(4) The POSHO, the licensor’s Technical Representative for safety shall perform periodic inspections to assure compliance with OSHA standards. The FM, the licensor’s Technical Representative for equipment maintenance shall make periodic inspections to assure compliance with the Agreement requirements and industry standards.
Rights of the Licensor. 2.1.1. The Licensor shall not use the Work as set forth in this Agreement autonomously and shall not transfer the copyright to other parties for the full term of this Agreement, except for the provisions within Paragraph 2.1.2 below.
2.1.2. The Licensor retains the rights to translate the Work into English and transfer the licenses for the English translation at its discretion and on any terms, or otherwise use the English translation of the Work. It is understood that the right to translate the Work into other than English languages under this Agreement is transferred to the Licensee.
2.1.3. The Licensor shall have the right to use the Work free of charge for its personal, informational, scientific, educational and cultural purposes as provided by the Russian Federation laws without obtaining the Licensee’s permission.
2.1.4. The Licensor represents and warrants that the rights granted under this Agreement will not in any way violate the rights (including the copyright) of a third party at the moment of signing the Agreement. The Licensor guarantees that he/she legally holds all rights that are subject to this Agreement and that all rights transferred hereunder do not infringe on rights or interests of other parties and are not under arrest or otherwise restricted.
2.1.5. The Licensor undertakes to deliver to the Licensee a full and complete typewritten paper copy of the manuscript of the Work and a copy in electronic version.
2.1.6. For the duration of this Agreement the Licensor shall refrain from any actions that may hinder the implementation of Licensee’s rights to use the Work as provided under this Agreement
2.1.7. The Licensor allows the Licensee to enter into sub-license agreements that arrange for cession of the rights transferred under this Agreement to other parties provided the sub-license terms and conditions are in compliance with the initial Agreement.
2.1.8. The Licensor shall not require reports from Licensee on the use of transferred rights for the Work.
Rights of the Licensor. 6.1 The Licensor shall at all times, be deemed to be in complete control and exclusive possession of the Licensed Premises, and the Licensor and the Licensor Representatives shall, throughout the Licence Period, have the right:
6.1.1 To enter upon the Licensed Premises at any time in the case of an emergency;
6.1.2 By giving a prior notice of twenty four (24) hours, and at the cost of the Licencee, to enter upon and inspect, (i) the Licensed Premises; (ii) the Services provided at the Licensed Premises; (iii) the Fixtures installed at the Licensed Premises; and (iv) the offices of the Licencee at the Licensed Premises;
6.1.3 To inspect and seek copies of:
(i) all Applicable Permits obtained by the Licencee in relation to: (a) the operation and management of the Licensed Premises; (b) ensuring compliance by the Licencee of all Applicable Laws;
(ii) the books of accounts, files, voucher books, documents maintained by the Licencee in relation to the Licensed Premises; and
(iii) such other information and documents as may be deemed necessary or relevant by the Licensor.
6.1.4 Notwithstanding anything to the contrary contained in this Agreement, NDMC shall have the right, but not the obligation, to appoint at its cost and expense from time to time and at any time, a chartered accountant or an audit firm to audit and verify all books of accounts of the Licencee recording all the receipts of the Licencee, income, expenditure, payments, assets and liabilities in relation to the Licensed Premises, along with all necessary back-up documents including but not limited to memos, vouchers, invoices etc., used to prepare the books of accounts.
6.1.5 The Licensor may at any time, in its sole discretion, seek any clarifications and/or any additional information in writing from the Licencee, which may be required by the Licensor to verify all statements, information and documents submitted by the Successful Bidder in response to the Tender Document. The Licencee shall, when so required by the Licensor, as soon as reasonably possible but in any case within 15 (fifteen) days of receipt of such request from the Licensor unless a longer time period is specified by the Licensor, make available in writing at its own cost and expense, all such information, evidence and documents as may be required by the Licensor for such verification.
Rights of the Licensor. The Licensor reserves the right to control and enforce all rules, regulations and policies for the management and operation of the premises. The Licensor is not responsible for any lost, stolen or damaged equipment belonging to licensee, or any licensee invitee.

(3) The U.S. Embassy Health Unit or the Regional Medical Officer (RMO), the Licensor’s Technical Representative and/or professional health and food service inspectors shall perform periodic inspections to assure compliance with Agreement requirements and industry standards.
Rights of the Licensor. 2.1.1. The Licensor reserves the right at his own convenience to use the Work, and to dispose of the belonging to him exclusive interest in the Work, including its alienation in favor of another person or granting of the right to another person to use the Work including with regard to the rights transferred to the Licensee.
2.1.2. The Licensor has the right to use at his or her discretion posted on the website of the Journal the electronic copy of the Work passed through the editorial-and-publishing process (PDF file): to place the PDF file on the Licensor’s website and via social media, to pass on to the other Parties, to upload to any open access repositories, to use in promoting of scientific researches or for other informational purposes.
2.1.3. The Licensor has the right to use the Work or its part for new works. In addition the Licensor should make a reference to the Work published in the Journal, with the indication of a the author(s)’s surname(s) and initials, the Work name, the full name of the Journal, year and number, and the Journal website link.
Rights of the Licensor. The Licensor shall have the right to: (i) carry out brand building advertising and to take all commercially reasonable efforts to ensure that the Trademarks have a strong public impact and remain attractive for consumers, and (ii) assist the Licensee in advertising the services sold by the Licensee with the use of the Trademarks.

(3) The Regional Medical Officer (RMO), the Licensor’s Technical Representative and/or professional health and food service inspectors shall perform periodic inspections to assure compliance with Agreement requirements and industry standards.
Rights of the Licensor i. It is hereby made clear that the Licensor is entitled to permit anyone else to use the Applications and the intellectual property associated with it without any prior permission of the End User.
ii. The Licensor reserves the right to prosecute, defend and conduct all suits involving Applications and to take any action or institute any proceedings that may deem desirable for the protection thereof, and in its sole discretion. You agree to report immediately to the Licensor any infringement or imitation or piracy of the said software.
