Conflict of Laws. If Vendor becomes aware that it can no longer meet its obligations under the applicable Data Protection Laws or Process Personal Data in accordance with Customer’s Instructions due to a legal requirement under any applicable law, Vendor will: (i) promptly notify Customer of that legal requirement to the extent permitted by the applicable law; and (ii) where necessary, cease all Processing (other than merely storing and maintaining the security of the affected Personal Data) until such time as Customer issues new Instructions with which Vendor is able to comply. If this provision is invoked, Vendor will not be liable to Customer under the Agreement for any failure to provide the applicable Products until such time as Customer issues new lawful Instructions with regard to the Processing.
