Conflict with Constitution. To the extent that the Constitution conflicts with the provisions of this Deed, the parties will exercise their respective voting rights as Members of the Company and take all such further steps as may be necessary to ensure that the provisions of this Deed prevail and are given full force and effect.
Conflict with Constitution. In the event of any conflict or inconsistency between the terms of this Agreement and the Constitution, the terms of this Agreement shall, to the extent lawfully permitted, prevail and the parties hereto shall so conduct themselves in accordance with the requirements hereof, and if so required by the holders of a Requisite Super Majority (as defined in the Constitution), voting in accordance with the voting provisions of the Constitution, shall exercise such powers and rights as they may have in their capacity as shareholders of the Company to amend the Constitution in such manner as may be necessary or desirable to rectify any such conflict or inconsistency.
Conflict with Constitution. If there is any conflict between any provision of this agreement and the Constitution as those provisions affect legal relations between the parties, the provisions of this agreement prevail.
Conflict with Constitution. If there is any conflict between any provision of this deed and the constitution of the Company as those provisions affect legal relations between the Parties, the provisions of this deed prevail.
Conflict with Constitution. If there is any conflict between a provision of this agreement and the constitution, the provision of this agreement will prevail and the shareholders will immediately take all steps necessary to procure the constitution to be amended in order to remove that conflict.
Conflict with Constitution. To the extent of any inconsistency or conflict (and to the extent permitted at law), the provisions of this Agreement will prevail over the provisions of the Constitution. In order to give effect to this clause 8.1, if any such inconsistency or conflict is identified or becomes apparent then the parties must do all things and sign all documents, including where necessary making amendments to the Constitution, as may be necessary to remove the inconsistency or conflict.
Conflict with Constitution. In the event of any ambiguity or discrepancy between the provisions of this Agreement and the Constitution, the provisions of this Agreement shall prevail and accordingly the Shareholders shall exercise all voting and other rights and powers available to 44
Conflict with Constitution. If there is any conflict between the provision of this agreement and the constitution of the Company, the provisions of this agreement prevail. On receipt of a written request from any party, all parties must take all necessary steps to amend any inconsistency in the constitution of the Company.

In the event of any conflict between -------------------------- the provisions of this Agreement and the provisions of the Constitution of the Company, the provisions of this Agreement shall take priority and apply to the exclusion of the relevant provisions of the Constitution.

Subject to Applicable Law, if there is any ambiguity, inconsistency or conflict between the provisions of the Company’s Constitution (as amended in accordance with the terms hereof through the date when such ambiguity, conflict or inconsistency arises or is deemed to arise) and this Agreement, such ambiguity, inconsistency or conflict shall be resolved by giving precedence to the provisions of this Agreement over the Constitution and the Parties promptly shall take all such actions and steps as are necessary to amend the Constitution of the Company to eliminate such inconsistency or conflicting provision or term from the Constitution and to replace it with a provision or term that is consistent with the provisions of this Agreement. In the meantime, while any such amendments to the Constitution are pending, no Party hereto shall seek to enforce the provision of the articles that is being amended so as to avoid inconsistency with the provisions hereof.
