Powers and Rights. The Members shall have such powers and rights as are vested in them by law, the Certificate, and this Agreement. The right of Directors nominated by a Member to Vote and all of the Member's right, title, and interest in or to the Cooperative shall cease on the termination of its Membership.

The Member shall have the power to change the corporate name, merge with or acquire any corporation organized under Chapter 292 of the Revised Statutes Annotated of New Hampshire, amend the articles of agreement, dissolve the Corporation, annually appoint an independent certified public accountant to perform an audit of the accounts of the Corporation, and such other powers and rights as may be reserved to it by law or the articles of agreement. In addition, the Member shall have the power to elect Trustees as provided in Section 3.1 and such other powers and rights as are vested in these By-Laws.
