Conflict with Constitutional Documents. If the provisions of this Agreement conflict with the Company’s other constitutional documents, including its Articles of Association or those of any other member of the Group, the provisions of this Agreement shall prevail as between the AHG Shareholders and the Company. Conflict with Constitutional Documents. In the event of a conflict or inconsistencies between the provisions of this Agreement and the governing documents of the Company, this Agreement shall prevail in all matters among and regarding the Shareholders to the extent permitted by applicable law. The Shareholders shall, so far as they are legally able, exercise all voting and other rights and powers available to them to give effect to the provisions of this Agreement and procure any amendment, including any amendment to the Certificate, required to give effect to the provisions of this Agreement or any other constitutional documents.
Conflict with Constitutional Documents. 25.1 If the provisions of this Agreement conflict with the Articles or those of any Group Company, the provisions of this Agreement shall prevail as between the Parties to the fullest extent permitted by Applicable Law. If requested to do so by any Party, the other Party shall procure that the Constitutional Documents or the articles of association (or equivalent documents) of any BSGR Guinea Group Company are amended or the relevant provisions of such are waived, suspended or disqualified so as to accord with and give effect to the provisions of this Agreement, subject to Applicable Law.
