Consent of Governmental Authorities. No consent, approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority is required to be made by Purchaser in connection with the execution, delivery or performance by Purchaser of this Agreement or the consummation by Purchaser of the transactions contemplated hereby.
Consent of Governmental Authorities. Other than in connection with the Securities Act, the Exchange Act and the rules of the American Stock Exchange, no consent, approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority is required to be made by DOC in connection with the execution, delivery or performance by DOC of this Agreement or the consummation by DOC of the transactions contemplated hereby.
Consent of Governmental Authorities. Notwithstanding anything to the contrary contained herein, to the extent that the exercise of any power granted, or remedy available, to the Agent hereunder requires the prior approval of any Governmental Authority, then the Agent hereby agrees that it may not and shall not exercise any such right or avail itself of any such remedy, until the required consent has been obtained.
Consent of Governmental Authorities. Each of Sellers has obtained all necessary authorizations from, and no further consent, approval or authorization of, or registration, qualification or filing, with, any Governmental Authority, or any other Person, is required to be made or obtained by Seller, as the case may be, in connection with the execution and delivery of the Transaction Documents by Sellers to which it is a party or the consummation by Sellers of the Contemplated Transactions.
Consent of Governmental Authorities. Other than in connection with the Securities Act, the Exchange Act and the rules of the Nasdaq Stock Market, no consent, approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority is required to be made by ADSX in connection with the execution, delivery or performance by ADSX of this Agreement or the consummation by ADSX of the transactions contemplated hereby.
Consent of Governmental Authorities. All Consents of the competent Government Authorities or entities in the PRC necessary for the Subscription (“PRC Approvals”) have been obtained by the Investor, including but not limited to: (A) the Consent of National Development and Reform Commission (“NDRC”) or its local counterpart; (B) the Consent of Ministry of Commerce (“MOFCOM”) or its local counterpart; (C) the Consent of SAFE or any applicable commercial banks under the supervision of SAFE; (d) the Consent (including but not limited to state-owned assets appraisal report as required by competent Government Authorities) of State-owned Assets Supervision and Administration Commission (“SASAC”) or its local counterpart.
Consent of Governmental Authorities. The Company and the Seller have obtained, or will have obtained prior to the Closing, all necessary authorizations and no further consent, approval or authorization of, or registration, qualification or filing, with any governmental or regulatory authority, or any other Person, is required to be made or obtained by the Company or the Seller in connection with the execution and delivery of the Transaction Documents by the Company and the Seller or the consummation by the Company and the Seller of the transactions contemplated thereby.
Consent of Governmental Authorities. Purchaser and MSLP have obtained, or will have obtained prior to the Closing, all necessary authorizations and no further consent, approval or authorization of, or registration, qualification or filing with any Governmental Authority, or any other Person, is required to be made or obtained by Purchaser and MSLP in connection with the execution and delivery of the Transaction Documents by Purchaser, or the consummation by Purchaser of the transactions contemplated thereby.
Consent of Governmental Authorities. Except as set forth on Schedule 3.4 and other than in connection with the HSR Act, the Exchange Act, any applicable state securities laws, no consent, approval or authorization of, or registration, qualification or filing with any federal, state, local or foreign governmental or regulatory authority is required to be made by Buyer in connection with the execution, delivery or performance by Buyer of this Agreement or the consummation by Buyer of the Transactions, except where the failure to obtain such consent, approval or authorization or to make such registration, qualification or filing would not prevent Buyer from consummating the Transactions on or prior to the Termination Date. Buyer knows of no reason why any of the consents, approvals or authorizations set forth in this Section 3.4 or on Schedule 3.4 would not be granted.
Consent of Governmental Authorities. Except as set forth on Schedule 4.4 and except in connection with the HSR Act, the Exchange Act, any applicable state securities laws, no consent approval or authorization of, or registration, qualification or filing with any federal, state or local governmental or regulatory authority is required to be made by Stockholder or MDI in connection with the execution, delivery or performance by Stockholder and MDI of this Agreement or the consummation by them of the Transactions, except where the failure to obtain such consent, approval or authorization or to make such registration, qualification or filing would not have a Material Adverse Effect on MDI and its Subsidiaries or materially hinder MDI or Stockholder in consummating the Transactions on or prior to the Termination Date. Neither Stockholder nor MDI knows of any reason any of the material consents, approvals or authorizations set forth in this Section 4.4 or Schedule 4.4 would not be granted.
