Consent to Joinder. Each of the parties hereto consents to the foregoing joinder of PNC as a party to the Agreement in the capacities of a Related Committed Purchaser and Purchaser Agent, and any otherwise applicable conditions precedent thereto under the Agreement and the other Transactions Documents (other than as set forth herein) are hereby waived.
Consent to Joinder. Administrative Borrower, on behalf of itself and each other Borrower and Guarantor, and Lender consents to the joinder of New Borrower to the Credit Agreement and all of the other Loan Documents, immediately following written confirmation from Lender that the condition set forth in Section 4.01(g) has been satisfied, as more fully described below.
Consent to Joinder. Each of the parties hereto consents to the foregoing joinder of (i) MUFG as a party to this Agreement in the capacities of Related Committed Purchaser and Purchaser Agent and (ii) Gotham as a party to this Agreement in the capacity as Conduit Purchaser, and any conditions precedent thereto under this Agreement and the other Transaction Documents (other than as set forth in Section 1 of Exhibit II hereof) are hereby waived.
Consent to Joinder. Each of the parties hereto consents to the foregoing joinder of GTA Funding in the capacity as Conduit Purchaser, and any otherwise applicable conditions precedent thereto under the Receivables Purchase Agreement and the other Transactions Documents (other than as set forth herein) are hereby waived.
Consent to Joinder. Each of the parties hereto (i) consents to the foregoing joinder of each of U.S. Bank and Truist as a party to the Receivables Purchase Agreement in the capacities of a “Related Committed Purchaser”, a “Purchaser Agent” and an “Uncommitted Purchaser”, (ii) expressly waives any notice or other applicable requirements set forth in any Transaction Document as a prerequisite or condition precedent to such joinders (other than as set forth herein) and (iii) acknowledges and agrees that this Section 3 is in form and substance substantially similar to an Assumption Agreement.
Consent to Joinder. Each Existing Borrower, Guarantor and Lender consent to the joinder of New Borrowers to the Credit Agreement and all of the other Loan Documents, as more fully described above.
Consent to Joinder. Each of the parties hereto consents to the foregoing joinder of each of Credit Agricole and Atlantic as parties to the Agreement, and any otherwise applicable conditions precedent thereto under the Agreement and the other Transactions Documents (other than as set forth herein) are hereby waived.
Consent to Joinder. Each of the parties to this Agreement consents to the foregoing joinder of Fifth Third Bank as a party to this Agreement, and any otherwise applicable conditions precedent thereto under this Agreement and the other Transaction Documents (other than as set forth herein) are hereby waived.
Consent to Joinder. Each of the parties to this Agreement consents to the foregoing joinder of Chariot Funding LLC as a party to the Agreement, and any otherwise applicable conditions precedent thereto under the Agreement and the other Transaction Documents (other than as set forth herein) are hereby waived.
Consent to Joinder. Each of the parties hereto consents to the foregoing joinder of Fifth Third in the capacities of Managing Agent of the Fifth Third Investor Group and as a Committed Investor, and any otherwise applicable conditions precedent thereto under the Agreement and the other Transactions Documents (other than as set forth herein) are hereby waived.
