CONSENT AND JOINDER. The BOROUGH OF ALBURTIS a borough located in Lehigh County, Pennsylvania, for value received, and intending to be legally bound hereby, does hereby join in and consent to the foregoing Agreement, dated for convenience as of 1 August 1987 by and among Lehigh County Authority, County of Lehigh, Borough of Macungie, and the Townships of Lower Macungie, Lowhill, Upper Macungie, Upper Milford and Xxxxxxxxxx, and to the extent applicable to it, agrees to abide by the terms and be bound by the terms of said Agreement. A stipulation dated December 30, 19876 was executed in settlement of civil suit 81-C-1947, Borough of Alburtis vs. County of Lehigh et al. This Consent and Joinder shall not be interpreted to waive, alter, or contradict the terms of that December 30, 1987 stipulation; however, that stipulation shall not be interpreted to give the Borough of Alburtis any rights in this Agreement different from those of the other parties to this Agreement, except that nothing contained herein shall be interpreted to waive Alburtis’ right to receive payments from the County of Lehigh as provided in the December 30, 1987 Settlement Stipulation.

CONSENT AND JOINDER. TOWNSHIP OF LOWER MACUNGIE, a Pennsylvania municipal subdivision located in Lehigh County, Pennsylvania, for value received, and intending to be legally bound hereby, as the incorporating munic- ipality of Lower Macungie Township Authority, party to the foregoing Agreement, does hereby consent to the execution of the foregoing Agreement by Lower Macungie Township Authority and does hereby agree to be bound by the terms and conditions set forth therein. Township of Lower Macungie does further agree, to the extent any action by it is legally required or deemed necessary or desirable in order to permit Lower Macungie Township Authority fully to comply with its obligations and commitments as set forth in the foregoing Agreement, that it will take such action, perform such acts, and otherwise cooperate to accomplish the purpose and intent of the foregoing Agreement. Township of Lower Macungie further agrees that if it at any time comes into possession as owner or lessee of the sanitary sewage collection system to be constructed by Lower Macungie Township Authority, it will perform and be bound by all of the terms and conditions of the aforementioned Agreement and shall be entitled to receive all rights thereunder to the same extent as if it were named therein in the place and stead of Lower Macungie Township Authority.
CONSENT AND JOINDER. {Separate consents and joinders in the following form were signed and attested by officers of the Borough of Macungie (undated); Township of Upper Macungie (undated), Borough of Macungie Sewer Authority (undated), Upper Macungie Township Authority (dated June 10, 1982):} The {NAME OF MUNICIPALITY}, a borough {township} located in Lehigh County, Pennsylvania, for value received, and intending to be legally bound hereby, does hereby join in and consent to the forego- ing Agreement, dated for convenience as of July 12, 1982 (the “Agreement”), by and amount the City of Allentown, County of Lehigh, Coplay-Whitehall Sewer Authority, Lehigh County Authority, and the Townships of Salisbury and South Whitehall, and to the extent applicable to it, agrees to abide by the terms of and be bound by the terms of said Agreement.
CONSENT AND JOINDER. Each of the undersigned heretofore executed and delivered to the Administrative Agent a Guaranty Agreement dated as of September 14, 2007 (the “Guaranty”). Each of the undersigned hereby consents to the Forbearance Agreement as set forth above, joins such agreement with respect to Paragraph 13 thereof, and confirms that its Guaranty, all obligations thereunder, and all Collateral Documents executed and delivered by it, and any Liens created or provided for thereunder remain in full force and effect and shall not be affected, impaired or discharged by the Forbearance Agreement. Each of the undersigned further agrees that its consent to any further amendments, waivers or consents in connection with the Credit Agreement shall not be required as a result of this consent having been obtained. Each of the undersigned acknowledges that the Required Lenders are relying on the joinder and assurances provided herein in entering into the Forbearance Agreement set forth above.
