Consent to Jurisdiction; Choice of Law. Any and all claims by or against any of the Parties and/or the Collateral Agent shall be decided under the laws of the State of California, with venue in Orange County, California and each of the Parties and the Collateral Agent hereby consent to the exclusive jurisdiction of, and agrees not to commence any action in a court other than, the state and/or federal courts of the State of California for the purpose of making claims under this Collateral Agreement. Each Party and the Collateral Agent irrevocably and unconditionally waives any objection to the laying of venue in Orange County, California, in connection with any action that may be brought hereunder in the state and/or federal courts of the State of California, and hereby further irrevocably and unconditionally waives and agrees not to plead or claim in any such court that any such action brought in any such court has been brought in an inconvenient form.

Consent to Jurisdiction; Choice of Law. (a) This agreement shall be governed by and interpreted in accordance with the laws of Alberta and the applicable laws of Canada, and the parties hereto attorn to the jurisdiction of the Courts of the Province of Alberta.
Consent to Jurisdiction; Choice of Law. This Lease shall be governed by and construed in accordance with the local laws of the State of New York. The Lease shall be construed as executed in Buffalo, New York. The Parties consent to the jurisdiction of and venue in the New York State Supreme Court (Erie County) for any and all disputes relating to or arising out of this Lease. If any provision of these terms and conditions shall be held invalid, illegal, unenforceable or inoperative under any jurisdiction, the balance of the terms and conditions shall remain in full force and effect as if such provisions had not been included. Captions and heading in the Lease are strictly for the purpose of convenience and general reference only, and shall not affect the meaning or interpretation of any of the provisions of the Lease. All parties affirm that they have the authority to enter into this Lease and had the opportunity to consult with their own counsel.
Consent to Jurisdiction; Choice of Law. Applicant, together with those individuals serving as its personal guarantors, expressly agree that the forum for any litigation arising under or in connection with this Application, whether brought by Lessor or Applicant, shall lie with either the District Court or Circuit Court for Prince Georges County, Maryland, any other court having personal jurisdiction over the Applicant, or the jurisdiction where the services or equipment provided by Lessor were supplied. Applicant, as well as its personal guarantors, consent to personal jurisdiction before any of those courts for litigation of disputes arising under or in connection with this Application, and specifically waive the defense of personal jurisdiction in the event legal action is brought against them by Lessor in those courts for a dispute arising under or in connection with this Application. While an action arising under or related to this Application may be brought in any of the said jurisdictions, this Application shall be construed in accordance with the law of the state of Maryland.

EACH PARTY HEREBY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE, AND AGREES NOT TO REQUEST, A JURY TRIAL FOR THE ADJUDICATION OF ANY DISPUTE HEREUNDER OR IN CONNECTION HEREWITH OR ARISING OUT OF THIS AGREEMENT OR ANY TRANSACTION CONTEMPLATED HEREBY.
