Consolidated or Combined Income Tax Returns. INRANGE shall be liable for and pay to SPX any Other Income Tax with respect to any Consolidated or Combined Income Tax Return for such Income Taxes in an amount that is equal to the amount determined under the Stand Alone Method for the period covered by such Tax Return. SPX shall be liable for and pay any Other Income Tax with respect to any Consolidated or Combined Income Tax Return for such Income Taxes other than the amount for which INRANGE is liable pursuant to this Section 2.2.

Consolidated or Combined Income Tax Returns. This Section 3.3(a) applies with respect to the preparation and filing of the GM Group’s consolidated Federal Income Tax Returns and its consolidated or combined state or local Income Tax Returns for the Consolidated Tax Period that includes the Contribution Date, and subsequent Consolidated Tax Periods (including the Consolidated Tax Period that includes the Spin-Off Date).
Consolidated or Combined Income Tax Returns. If required by applicable Tax Law, or, if at any time and from time to time Parent so elects, some or all members of the NLC Group shall join some or all members of the Parent Group in the filing of a Consolidated or Combined Income Tax Return for any Tax Period for which the Groups are required or permitted to file such a return. Parent and NLC agree (and, if necessary, agree to cause their Affiliates) to file such consents, elections, and other documents and take such other actions as may be necessary or appropriate to carry out the purposes of this Section 4.05.
Consolidated or Combined Income Tax Returns. The Companies will elect and join, and will cause their respective Affiliates to elect and join, in filing consolidated, unitary, combined, or other similar joint Tax Returns, to the extent each entity is eligible to join in such Tax Returns, if MINC reasonably determine that the filing of such Tax Returns is consistent with past reporting practices, or, in the absence of applicable past practices, will result in the minimization of the net present value of the aggregate Tax to the entities eligible to join in such Tax Returns.

  • Consolidated or Combined Tax Returns At Parent’s election and in its sole discretion, SpinCo will elect and join, and will cause its Affiliates to elect and join, in filing any Parent State Combined Income Tax Returns and any Joint Returns that Parent determines are required to be filed or that Parent chooses to file pursuant to Section 4.02(b). With respect to any SpinCo Separate Returns relating to any Pre-Distribution Period, SpinCo will elect and join, and will cause its Affiliates to elect and join, in filing consolidated, unitary, combined, or other similar joint Tax Returns, to the extent reasonably determined by Parent.
