Construction Permit Application. Within five (5) business days of the (a) date of this Agreement, Xxxxxx shall file an application on FCC Form 2100, Schedule E to modify the facilities of Sharee’s Station (the “Minor Mod Application”) in order to implement this Agreement (and, if required, shall include with such application a copy of this Agreement with appropriate redactions of confidential information). Xxxxxx will coordinate and work with Raleigh OpCo, under the supervision and control of Xxxxxx, to construct facilities pursuant to the construction permit (the “CP”) issued by the FCC upon grant of the Minor Mod Application in accordance with the TSA. Xxxxxx shall transmit any required notices to viewers, medical facilities, and MVPDs. Sharer shall xxxxxxx Xxxxxx with such information and assistance as Xxxxxx may reasonably request in connection with Sharee’s preparation of the Minor Mod Application.

Construction Permit Application. Seller filed with the FCC an application to modify the Station's facilities and with Buyer's cooperation shall use its best efforts to secure FCC approval for that application prior to Closing.
Construction Permit Application. Within forty five (45) days of the date of this Agreement, Seller shall file with the Commission a construction permit application to move the night time transmitter of WHSR (AM) to the site where the transmitters of WSBR (AM) are located (the "WHSR Application"). Seller will diligently take all steps necessary or desirable and proper to prosecute expeditiously the WHSR Application and to obtain the Commission's determination that approval of the WHSR Application will serve the public interest, convenience, and necessity, including, without limitation, compliance with the public notice requirements of the Communications Act of 1934, as amended. The failure by Seller to timely file or diligently prosecute the WHSR Application shall be deemed a material breach of this Agreement. Seller shall bear its own expenses in connection with the preparation, filing and prosecution of the WHSR Application.

  • Construction of Hotel (i) To Seller’s knowledge, the Hotel has been constructed in a good and workmanlike manner without encroachments except as noted on the Survey and in accordance in all material respects with the Construction Plans. To Seller’s knowledge, the Hotel has received all building permits and certificates of occupancy necessary for the operation thereof, and is in compliance with applicable zoning, platting, subdivision, health, safety and similar laws, rules, regulations, ordinances and codes.

  • Possession of Permits The Adviser has such Permits as are necessary to own its property and to conduct its business in the manner described in the Preliminary Prospectus and the Prospectus; the Adviser has fulfilled and performed all its material obligations with respect to such Permits and no event has occurred which allows, or after notice or lapse of time would allow, revocation or termination thereof or results in any other material impairment of the rights of the Adviser under any such Permit.
