Contact Information of SCN Personnel. SCN shall provide to the Executive Director the names and telephone numbers of SCN’s Key Personnel, and any qualified SCN Personnel who can be called by ANAHEIM when emergency conditions occur. Such personnel shall provide the capability to receive and respond promptly to incidents and calls of an emergency nature during working hours and during hours when SCN’s normal work force is not present. During working hours, SCN shall have the ability to contact and mobilize the appropriate personnel or agents and shall, in fact, mobilize the appropriate personnel or agents to the location of the incident or emergency immediately upon notification by ANAHEIM. SCN shall be available twenty-four (24) hours a day, seven (7) days a week to respond to all incidents or emergencies and, with respect to an incident or emergency occurring during hours when SCN’s normal work force is not present, shall mobilize the appropriate personnel or agents and respond immediately following notification thereof. SCN shall provide frequent updates to ANAHEIM during the pendency of any incident or emergency, including the steps being taken to make corrective repairs or otherwise remedy the incident or emergency, and shall immediately notify ANAHEIM following completion of any corrective repairs so that ANAHEIM can, in turn, advise its Business Partners, tenants, exhibitors and attendees using the ACC affected by the incident or emergency. SCN agrees to complete the corrective repairs or take such other action deemed necessary and appropriate to remedy an incident or emergency within one (1) hour of responding thereto; provided, however, that if the corrective repairs or such other remedial action are of a type that cannot reasonably be performed within such period, SCN hereby agrees to and shall commence the corrective repairs or such other remedial action within such period and proceed diligently thereafter to complete the corrective repairs or such other remedial action.

  • Access to Personal Information by Subcontractors Supplier agrees to require any subcontractors or agents to which it discloses Personal Information under this Agreement or under any SOW to provide reasonable assurance, evidenced by written contract, that they will comply with the same or substantially similar confidentiality, privacy and security obligations with respect to such Personal Information as apply to Supplier under this Agreement or any SOW. Supplier shall confirm in writing to DXC that such contract is in place as a condition to DXC’s approval of use of a subcontractor in connection with any SOW. Upon request of DXC, Supplier will provide to DXC a copy of the subcontract or an extract of the relevant clauses. Supplier shall ensure that any failure on the part of any subcontractor or agent to comply with the Supplier obligations under this Agreement or any SOW shall be grounds to promptly terminate such subcontractor or agent. If during the term of this Agreement or any SOW, DXC determines, in its exclusive discretion, that any Supplier subcontractor or agent cannot comply with the Supplier obligations under this Agreement or with any SOW, then DXC may terminate this Agreement in whole or in part (with respect to any SOW for which such subcontractor or agent is providing services), if not cured by Supplier within the time prescribed in the notice of such deficiency.
