Contingent Distribution. Except during a Default Period, on the Completion Date, if the Security Agent shall have deposited any proceeds of Bank Project Loans into the Distributions Account pursuant to Section 4.3 the Security Agent shall transfer from the Distributions Account to the Borrower the amount of such proceeds of Bank Project Loans. Except during a Default Period, on the date of Final Completion of the Facility, if the Security Agent shall have transferred any funds into the Distributions Account from the Final Completion Escrow Account pursuant to Section 5.9(b), the Security Agent shall transfer from the Distributions Account to the Borrower the amount of funds so transferred.

Contingent Distribution. For the avoidance of doubt, if any portion of the amount distributable to the Members pursuant to Section 14.4(b) is placed into escrow and/or is payable to such holders subject to contingencies, such dissolution or termination shall be effected such that the portion of such amount that is placed in escrow and/or subject to any contingencies (the “Contingent Distribution”) shall be allocated to the Members in accordance with this Section 14.5 as if all of consideration ultimately payable in the transaction, including the Contingent Distribution, is paid without restrictions at the time of closing of such dissolution or termination (so that the Contingent Distribution shall be allocated among the Members pro rata based on the amount of such consideration otherwise payable to each Member pursuant to this Section 14.5). Each Member agrees to take such actions as may be required, necessary or advisable to effect the intent of this Section 14.5.
Contingent Distribution. The Trustees shall distribute any property that is not otherwise disposed of under this Trust Agreement to one or more organizations selected by the Trustees, gratuitous transfers to each of which are deductible as charitable transfers for Federal income, estate, and gift tax purposes, which may include the Xxxxxx-Xxxxxxx Family Foundation, Inc.

  • Contingent Payment Notwithstanding anything in this Agreement to the contrary, if any of the Properties are sold by Buyer within twelve (12) months after the Closing Date, Buyer shall pay to Seller an amount equal to five percent (5%) of the Consideration allocated to such Property. The Deeds shall contain a deed restriction granting Seller the right to receive such additional sum from Buyer.

  • Contingent Payments The Unilever Stockholder shall have the right to receive the Contingent Payments, if any, on the terms and subject to the conditions set forth on Exhibit 9 in recognition of its period of ownership of the Class B Shares.
