Continuation and Name. The parties hereto do hereby continue a limited partnership under the name Man-AHL Diversified I L.P. (the ‘Partnership’), under the provisions of the Delaware Revised Uniform Limited Partnership Act, as amended (the ‘Partnership Act’).
Continuation and Name. The Company shall continue as a limited liability company under the Act for the purposes and upon the terms and conditions hereinafter set forth. The Members hereby amend and restate the Prior Agreement, which is replaced and superseded in its entirety by this Agreement. The rights and obligations of the Members and the administration and termination of the Company shall be governed by this Agreement and the Act. This Agreement shall be considered the “limited liability company agreement” of the Company within the meaning of Section 18-101(7) of the Act. In the event of any inconsistency between any terms and conditions contained in this Agreement and any non-mandatory provisions of the Act, the terms and conditions contained in this Agreement shall govern. The name of the Company is Zeno Pharma, LLC. All Company business shall be conducted in the name of “Zeno Pharma, LLC” or such other names that comply with applicable law as the Board of Directors of the Company (the “Board,” and each member thereof being referred to for purposes of this Agreement as a “Director”) may select from time to time. Upon the Effective Date, (a) each Member signatory to the Prior Agreement and identified in the books and records of the Company immediately prior to the Effective Date hereby continues as a Member of the Company and (b) each other Member signatory hereto on the Effective Date and identified in the books and records of the Company is admitted to the Company as a Member.
Continuation and Name. The parties hereby continue ML Trend-Following Futures Fund L.P. (formerly, ML JWH Strategic Allocation Fund L.P.) (the “Partnership”) under the Delaware Revised Uniform Limited Partnership Act (the “Act”).
Continuation and Name. The parties hereto do hereby agree to continue the Partnership under the Delaware Revised Uniform Limited Partnership Act, as amended and in effect on the date hereof (the “Act”), and the rights and liabilities of the Partners shall be provided in the Act except as otherwise herein provided. The name of the limited partnership is Bridgeton Tactical Advisors Fund, LP (the “Partnership”). The General Partner shall execute and file an amendment to the Certificate of Limited Partnership in accordance with the provisions of the Act and shall execute, file, record and publish, as appropriate, such amendments thereto, assumed name certificates and other documents as are or become necessary or advisable as determined by the General Partner. Each Limited Partner hereby agrees to furnish to the General Partner a power of attorney which may be filed with the Certificate of Limited Partnership and any amendments thereto and such additional information as is required from such Limited partner to complete such documents and to execute and cooperate in the filing, recording or publishing of such documents at the request of the General Partner.
Continuation and Name. (a) The Partners hereby continue the Partnership as an exempted limited partnership in accordance with the Act for the limited purpose and scope set forth in this Agreement.
Continuation and Name. The parties hereto, intending to share in the profits and losses of the Partnership, hereby continue the Partnership as a limited partnership pursuant to the Act for the purposes set forth in this ARTICLE II. The name of the Partnership is and shall be "Indiana Gaming Company, L.P." The Partnership shall execute and file all such documents and take all such other actions as may be necessary to register such name in the State of Indiana and any other appropriate jurisdictions, whether state or local. The Partnership may also do business and own assets in or under any other name as the General Partner may determine and the General Partner shall execute, publish and/or file all assumed or fictitious names or other certificates as may be required by law.
Continuation and Name. The Partners hereby elect to continue the Partnership as a limited partnership pursuant to the provisions of the Act and under the name Brandywine Midatlantic LP. The General Partner shall have authority to execute and cause to be filed such applications, elections, certificates and documents as may be necessary or appropriate for the continuation of a limited partnership under the Act. The business and affairs of the Partnership shall be conducted under the name set forth above or such other name as the General Partner from time to time select.
Continuation and Name. The Partners hereby agree to continue, pursuant to the Maryland Revised Uniform Limited Partnership Act (the “Act”), the limited partnership now renamed as RH of Texas Limited Partnership (the “Partnership”).
Continuation and Name. The Member hereby agrees to continue as a limited liability company under the name of "Glynn Tarra Estates, LLC" (the "Company"), pursuant to the provixxxxx xx xxe Act and this Agreement. The Articles of Organization were filed with the State Corporation Commission of Virginia ("SCC") on June 7, 2000.
Continuation and Name. The limited liability company (the “Company”) known as “Jasper-Costa Rica, L.L.C.,” is hereby continued pursuant to the provisions of the Delaware Limited Liability Company Act and this Agreement.
