Continuation; Third Party Beneficiary. These Subordination Provisions constitute a continuing agreement and (a) shall remain in full force and effect until the Senior Credit Agreement has been terminated and all Senior Obligations have been Paid-in-Full, (b) shall be binding upon each Subordinated Creditor and Maker and their respective successors, transferees and assignees, and (c) are intended for the benefit of, and will be enforceable as express third party beneficiaries by, the holders of the Senior Obligations and by the Senior Administrative Agent on their behalf.
