Continued Accuracy of Representations and Warranties of Buyer. The representations and warranties of Buyer contained in this Agreement and in the documents being delivered in connection herewith shall be true in every material respect on and as of the Closing Date with the same effect as though such representations and warranties had been made on as of such date, and Seller shall have received at the Closing a certificate, dated the Closing Date and executed by Buyer, to such effect; provided that the failure of a representation or warranty to be true and correct at any time shall not constitute a failure of the condition contained in this Section 10.3 if such failure, both alone and in conjunction with all other such failures, has not had a material adverse effect on Seller.
