Continuing Performance Obligations. The existence of any Dispute or the pendency of the Dispute resolution procedures set forth herein will not relieve or excuse a Party from its ongoing duties and obligations under this Agreement, and the Parties shall nevertheless proceed with the performance of this Agreement in accordance with the terms hereof.
Continuing Performance Obligations. While a Dispute is pending, each Party shall continue to perform its obligations under this Agreement, unless such Party is otherwise entitled to suspend its performance hereunder or terminate this Agreement in accordance with the terms hereof.
Continuing Performance Obligations. Each of the Acquired Companies and the Acquired Company Subsidiaries agrees to perform the noncompetition, transition services and supply obligations of such entity under the provisions of the Business Sale Agreements. Buyer agrees to satisfy any obligations to license the Bell & Howell Trademark Regixxxxtioxx xxxt are contained in the Business Sale Agreements. Seller agrees to assign to Buyer any licenses granted by Seller to the Bell & Howell Trademark Regixxxxtioxx xxxt are contained in the Business Sale Agreements, to the extent possible. To the extent that any such licenses may not be assigned by Seller, Seller agrees to use reasonable commercial efforts to enforce the terms and conditions under which such licenses were granted under the Business Sale Agreements.
