Continuing Warranties. Debtor’s warranties and representations set forth in this Section 5 and in any exhibit hereto shall be true and correct at the time of execution of this Pledge Agreement by Debtor and at the time Debtor requests or receives any advance under the Credit Agreement.
Continuing Warranties. Borrower’s representations and warranties set forth in this Agreement shall be true and correct at the time of execution of this Agreement and as of the Closing Date and shall survive the Closing Date and shall remain true and correct as of the date given.
Continuing Warranties. As a precondition to the making of any Advance hereunder, no default by Borrower shall have occurred and be continuing, and no event shall have occurred which, with the lapse of time or notice or both, shall constitute a default; and Borrower shall have paid all interest, fees, charges and other amounts due and payable by Borrower to Intuit hereunder.
Continuing Warranties. The Warranties are deemed to be repeated on the Completion Date.
Continuing Warranties. The Vendors Warranties shall not merge on Completion but shall survive Completion.
Continuing Warranties. All warranties and representations made by Guarantor under this Agreement, or by Guarantor in connection with the consummation of the transactions contemplated in this Agreement, shall survive the termination of this Agreement and the payment of the Note and shall continue in full force and effect until full payment and complete discharge of all of the Obligations.
Continuing Warranties. Debtor’s warranties and representations set forth in this Section 4 and in any exhibit hereto shall be true and correct at the time of execution of this IP Security Agreement by Debtor and at the time of any request for advance and at the time of any advance under the Credit Agreement. INTELLECTUAL PROPERTY SECURITY AGREEMENT
Continuing Warranties. VITI hereby agrees and covenants to ensure, throughout the term, that each of the representations and warranties set forth in this Section 17.1, and each other representation and warranty of VITI in this Agreement, remains true and correct during the term of this Agreement. To the extent that any such representation or warranty becomes untrue in any material respects during the term of this Agreement, VITI shall notify TSI of the facts and circumstances surrounding such situation.
Continuing Warranties. TSI hereby agrees and covenants to ensure, throughout the term, that each of the representations and warranties set forth in this Section 15.2, and each other representation and warranty of TSI in this Agreement, remains true and correct during the term of this Agreement. To the extent that any such representation or warranty becomes untrue in any material respects during the term of this Agreement, TSI will notify VITI of the facts and circumstances surrounding such situation.
Continuing Warranties. WG covenants that each of the representations and warranties set forth in this Section 18.2 and each other express representation and warranty of WG in this Agreement, shall remain true and correct during the Term. To the extent that any such representation or warranty becomes untrue in any material respect during the Term, WG shall notify Service Provider of the facts and circumstances surrounding such situation.
