Common use of Contract Change Control Clause in Contracts

Contract Change Control. (a) From time to time during the Term, Customer or ACS may propose changes in or additions to the Services or other aspects of this Agreement. All such changes will be implemented pursuant to the procedures set forth in this Section 10.5 (the “Change Control Procedures”). (b) If Customer desires to propose a change in or addition to the Services or other aspects of this Agreement, Customer’s Project Executive (or a person authorized in writing by Customer’s Project Executive) will deliver a written notice to the ACS Project Executive describing the proposal. ACS will respond to such proposal as promptly as reasonably possible by preparing, at ACS’ expense, and delivering to the Customer Project Executive a written document , indicating: (i)the effect of the proposal, if any, on the Charges and the manner in which such effect was calculated; (ii) the effect of the proposal, if any, on Service Levels and any necessary revisions thereto; (iii) the anticipated time schedule for implementing the proposal; and (iv) any other information requested in the proposal or reasonably necessary for Customer to make an informed decision regarding the proposal (“Change Control Document”). (c) If ACS desires to propose a change in or addition to the Services, or the manner of their delivery as set forth in the Statement of Work, or other aspects of this Agreement, it may do so by preparing and delivering, at its expense, and a Change Control Document to the Customer Project Executive. (d) No change in or addition to the Services or any other aspect of this Agreement will become effective without the written approval of each Party’s authorized representative. If Customer elects to accept the offer set forth in the Change Control Document, as evidenced by the written approval of the Customer Project Executive, any changes in or additions to the Services described in the Change Control Document will thereafter be deemed “Services,” any other changes described in the Change Control Document will be deemed to have amended this Agreement, and the Parties will agree on any further modifications to the Agreement required to reflect the Change Control Document.

(b) Any change to this Master Agreement must be approved by the Relationship Executive of each Party and memorialized in a written amendment that specifically identifies this Master Agreement, the section of this Agreement that is the subject of the amendment, and the new provision. (c) If Customer Advantica desires to propose a change in or addition to the Services or other aspects of this under a Service Agreement, Customer’s Project Executive (or a person authorized in writing by Customer’s Project Executive) will it shall deliver a written notice to the ACS Supplier Project Executive describing the proposal. ACS will Supplier shall respond to such proposal as promptly as reasonably possible by preparing, preparing at ACS’ expense, Supplier's expense and delivering to the Customer Advantica Project Executive a written document ("Change Control Document"), indicating: (i)the i) the effect of the proposal, if any, on the amounts payable by Advantica hereunder (which effect shall be determined in the manner set forth in Section 13.4 (Charges Pursuant to Change Control Procedures) and the manner in which such effect was calculated; (ii) the effect of the proposal, if any, on Service Levels and any necessary revisions theretowith a full explanation acceptable to Advantica; (iii) the anticipated time schedule for implementing the proposal; and (iv) any other information requested in the proposal or reasonably necessary for Customer Advantica to make an informed decision regarding the proposal (“Change Control Document”). (c) proposal. If ACS Supplier desires to propose a change in or addition to the Services, or the manner of their delivery as set forth in the Statement of Work, Services or other aspects of this Agreement, it may do so by preparing and delivering, at its expense, expense and delivering a Change Control Document to the Customer Advantica Project Executive. A Change Control Document, once submitted to Advantica, shall constitute an offer by Supplier to implement the proposal described therein on the terms set forth therein, and shall be irrevocable for a minimum of thirty (30) days. (d) No change in or addition to the Services or any other aspect of this Agreement will shall become effective without the written approval of each Party’s authorized representativethe Advantica Project Executive (or, if necessary, an Advantica officer with the appropriate level of signature authority). If Customer Advantica elects to accept the offer set forth in the Change Control Document, as evidenced by the written approval of the Customer Advantica Project Executive, any changes in or additions to the Services described in the Change Control Document will shall thereafter be deemed “"Services,” " any other changes described in the Change Control Document will shall be deemed to have amended this Master Agreement, and the Parties will shall agree on any further modifications to the this Master Agreement required to reflect the Change Control Document. (e) Routine changes made in the ordinary course of Supplier's provision of the Services that are performed within the then-existing resources used to provide the Services and that do not affect Service Levels (such as changes to operating procedures, schedules and Equipment configurations) shall be made at no additional cost to Advantica and shall be made and documented in accordance with the Procedures Manual.

ACS will EDS shall respond to such proposal as promptly as reasonably possible by preparing, preparing at ACS’ expense, EDS' expense and delivering to the Customer Coors Project Executive a written document document (a " Change Control Document"), indicating: (i)the i) the effect of the proposal, if any, on the amounts payable by Coors hereunder (which effect shall be determined in the manner set forth in Section 12.4 (Charges Pursuant to Change Control Procedures)) and the manner in which such effect was calculated; (ii) the effect of the proposal, if any, on Service Levels and any necessary revisions theretoLevels; (iii) the anticipated time schedule for implementing the proposal; and (iv) any other information requested in the proposal or reasonably necessary for Customer Coors to make an informed decision regarding the proposal, including, without limitation, the effect of the proposal (“Change Control Document”). (c) on Coors' costs and expenses relating to its human resources, Equipment and Software. If ACS EDS desires to propose a change in or addition to the Services, or the manner of their delivery as set forth in the Statement of Work, Services or other aspects of this Agreement, it may do so by preparing and delivering, at its expense, expense and delivering a Change Control Document to the Customer Coors Project Executive. A Change Control Document shall constitute an offer by EDS to implement the proposal described therein on the terms set forth therein, and shall be irrevocable for a minimum of thirty (30) days. (dc) No change in or addition to the Services or any other aspect of this Agreement will shall become effective without the written approval of each Party’s authorized representativeboth the Coors Project Executive and the EDS Project Executive. If Customer Coors elects to accept the offer set forth in the Change Control Document, as evidenced by the written approval of the Customer Coors Project Executive, any changes in or additions to the Services described in the Change Control Document will shall thereafter be deemed “"Services,” " any other changes described in the Change Control Document will shall be deemed to have amended this Agreement, and the Parties will shall agree on any further modifications to the Agreement required to reflect the Change Control Document. (d) Routine changes made in the ordinary course of EDS' provision of the Services that are performed within the then-existing chargeable resources used to provide the Services and that do not affect Service Levels (such as changes to operating protocols, schedules and Equipment configurations) [***] shall be made and documented in accordance with the Procedures Manual.

(b) Any change to this Master Agreement must be approved by the Relationship Executive of each Party and memorialized in a written amendment that specifically identifies this Master Agreement, the section of this Agreement that is the subject of the amendment, and the new provision. (c) If Customer Wards desires to propose a change in or addition to the Services or other aspects of this under a Service Agreement, Customer’s Project Executive (or a person authorized in writing by Customer’s Project Executive) will it shall deliver a written notice to the ACS Supplier Project Executive describing the proposal. ACS will Supplier shall respond to such proposal as promptly as reasonably possible by preparing, preparing at ACS’ expense, Supplier's expense and delivering to the Customer Wards Project Executive a written document ("Change Control Document"), indicating: (i)the i) the effect of the proposal, if any, on the amounts payable by Wards hereunder (which effect shall be determined in the manner set forth in Section 13.4 (Charges Pursuant to Change Control Procedures) and the manner in which such effect was calculated; (ii) the effect of the proposal, if any, on Service Levels and any necessary revisions theretowith a full explanation acceptable to Wards; (iii) the anticipated time schedule for implementing the proposal; and (iv) any other information requested in the proposal or reasonably necessary for Customer Wards to make an informed decision regarding the proposal (“Change Control Document”). (c) proposal. If ACS Supplier desires to propose a change in or addition to the Services, or the manner of their delivery as set forth in the Statement of Work, Services or other aspects of this Agreement, it may do so by preparing and delivering, at its expense, expense and delivering a Change Control Document to the Customer Wards Project Executive. A Change Control Document, once submitted to Wards, shall constitute an offer by Supplier to implement the proposal described therein on the terms set forth therein, and shall be irrevocable for a minimum of thirty (30) days. (d) No change in or addition to the Services or any other aspect of this Agreement will shall become effective without the written approval of each Party’s authorized representativethe Wards Project Executive (or, if necessary, a Wards officer with the appropriate level of signature authority). If Customer Wards elects to accept the offer set forth in the Change Control Document, as evidenced by the written approval of the Customer Wards Project Executive, any changes in or additions to the Services described in the Change Control Document will shall thereafter be deemed “"Services,” " any other changes described in the Change Control Document will shall be deemed to have amended this Agreement, and the Parties will shall agree on any further modifications to the Agreement required to reflect the Change Control Document. (e) Routine changes made in the ordinary course of Supplier's provision of the Services that are performed within the then-existing resources used to provide the Services and that do not affect Service Levels (such as changes to operating procedures, schedules and Equipment configurations) shall be made at no additional cost to Wards and shall be made and documented in accordance with the Procedures Manual.

If Customer Coors elects to accept the offer set forth in the Change Control Document, as evidenced by the written approval of the Customer Coors Project Executive, any changes in or additions to the Services described in the Change Control Document will shall thereafter be deemed “Services,” any other changes described in the Change Control Document will shall be deemed to have amended this Agreement, and the Parties will shall agree on any further modifications to the Agreement required to reflect the Change Control Document. (d) Routine changes made in the ordinary course of the EDS Providers’ provision of the Services that are performed within the then-existing chargeable resources used to provide the Services and that do not affect Service Levels (such as changes to operating protocols, schedules and Equipment configurations) shall be made [*****] Coors Recipients and shall be made and documented in accordance with the applicable Procedures Manual(s).
