Contractor Commitments a) The Contractor agrees to undertake all snowmaking and perform snow grooming and all other procedures necessary to accommodate the opening of the Kinsmen Ski Centre at the commencement of each Operating Season, it being understood that the Contractor shall focus its attention on the period running from November 1st to March 31st of the following year, referred to as the “Peak Operating Season”.

Contractor Commitments. In addition to the obligations set forth in the IRG, the Contractor agrees to: (a) use her best efforts to learn the Company's merchandise and to promote and sell the Company's merchandise solely through home parties, events and, subject to Section 6, other sales channels, (b) display and promote the Company's merchandise tastefully and honestly and in accordance with the Company’s policies and procedures as they exist from time to time, including but not limited to the IRG, (c) conduct all sales to customers and payment to the Company in accordance with the policies and procedures in the IRG, (d) maintain the highest standards of integrity, honesty, professionalism, and responsibility in promoting and selling the Company's merchandise, and (e) while Contractor is free to engage in other direct sales/multi-level marketing businesses, subject to Sections 12 and 20 below, only display, promote, and sell merchandise distributed by the Company at home parties or events at which PURE ROMANCE™ merchandise is displayed, promoted, or sold. Contractor will not, directly or indirectly through a third-party reseller or otherwise, sell, market, or promote merchandise sold by the Company on any website not specifically authorized by the Company, including without limitation, eBay, Amazon, Craigslist, Poshmark, Kijiji, or any other sites including open market places, and Contractor agrees to the liquidated damages provision set forth in Section 13 below if Contractor violates this foregoing covenant. Contractor shall be solely responsible for determining the method, details and means of promoting and selling merchandise, including the prices she charges for merchandise, and shall use her own equipment and supplies in doing so, in each case subject to the Company’s policies and in a manner that complies with all applicable laws.

  • Service Commitment Newly hired nurses and currently employed nurses who voluntarily choose to relocate and receive a relocation allowance may be required to serve for a minimum of two years at their base before they will be considered for transfer to another base. This commitment will not apply when the employer and nurse mutually agree to waive it and when relocation occurs as a result of layoff/rehire.

  • Time Commitment The Advisor shall, and shall cause its Affiliates and their respective employees, officers and agents to, devote to the Company such time as shall be reasonably necessary to conduct the business and affairs of the Company in an appropriate manner consistent with the terms of this Agreement. The Company acknowledges that the Advisor and its Affiliates and their respective employees, officers and agents may also engage in activities unrelated to the Company and may provide services to Persons other than the Company or any of its Affiliates.

  • STAFF COMMITMENT 23. If this Settlement Agreement is accepted by the Hearing Panel, Staff will not initiate any proceeding under the By-laws of the MFDA against the Respondent in respect of the facts set out in Part IV and the contraventions described in Part V of this Settlement Agreement, subject to the provisions of Part IX below. Nothing in this Settlement Agreement precludes Staff from investigating or initiating proceedings in respect of any facts and contraventions that are not set out in Parts IV and V of this Settlement Agreement or in respect of conduct that occurred outside the specified date ranges of the facts and contraventions set out in Parts IV and V, whether known or unknown at the time of settlement. Furthermore, nothing in this Settlement Agreement shall relieve the Respondent from fulfilling any continuing regulatory obligations.
