Contractor’s Transactions with Third Parties. The Contractor agrees to include in all of its transactions with third parties in connection with this Contract, including, but not limited to, the procurement of goods and services and the marketing of Hydrocarbons allocated to it as Consideration, a provision establishing that upon request by the Fund, the Ministry of Finance or CNH, such third party shall be required to deliver directly to the requesting party information regarding its transactions with the Contractor under the Contract.

Contractor’s Transactions with Third Parties. The Contractor commits to agree in its transactions with third parties performing operations related with this Contract, the obligation of such third parties to deliver directly upon request to the Fund, the Ministry of Finance, or the CNH, the information regarding its transactions with the Contractor under the Contract. The obligation referred to in the paragraph above shall be applicable to any procurement of goods and services contract that the Contractor executes from the award of this Contract. In the event that the Contractor demonstrate that the procurement of goods and services contracts were executed before the award of the Contract and that comply with the provisions of the Annex 10, it shall be considered that the Contractor has complied with the commitment of this Article.

If the Stockholder, Seller or Representative receives any offer or proposal to enter into discussions or negotiations relating to any of the above, Seller or the Stockholder will immediately notify Buyer in writing as to the identity of the offeror or the party making any such proposal and the specific terms of such offer or proposal.

  • Transactions with Certain Persons Except as set forth on Schedule --------------------------------- 5.22, no officer, director or employee of the Company, nor any member of any such person's immediate family, is presently a party to any transaction with the Company, including without limitation, any contract, agreement or other arrangement(1) providing for the furnishing of services by, (2) providing for the rental of real or personal property from, or (3) otherwise requiring payments to (other than for services as officers, directors or employees of the Company ) any such person or corporation, partnership, trust or other entity in which any such person has an interest as a shareholder, officer, director, trustee or partner.
