Controller and Assistant Controller. The Controller shall be the chief accounting officer of the Corporation. He or she shall be in charge of and maintain books of account and accounting records of the Corporation. The Controller shall perform such other duties as may from time to time be prescribed by the Board of Directors, the Chairman of the Board, or the President. The Assistant Controller, or if there is more than one, the Assistant Controllers in the order determined by the Board (or if there is no such determination, then in the order of their election), shall, in the absence of the Controller or in the event of the Controller’s inability to act, perform the duties and exercise the powers of the Controller and shall perform such other duties and have such other powers as the Board may from time to time prescribe.

Controller and Assistant Controller. The Controller shall be the principal accounting officer of the Company and shall have the custody of the Company funds and securities and shall keep full and accurate accounts of receipts and disbursements in books belonging to the Company and shall deposit all moneys and other valuable effects in the name and to the credit of the Company in such depositories as may be designated by the Board. The Controller shall disburse the funds of the Company as may be ordered by the Board, taking proper vouchers for such disbursements, and shall render to the President and to the Board, at its regular meetings or when the Board so requires, an account of all of the Controller’s transactions and of the financial condition of the Company. The Assistant Controller, or if there shall be more than one, the Assistant Controllers in the order determined by the Board (or if there be no such determination, then in the order of their election), shall, in the absence of the Controller or in the event of the Controller’s inability to act, perform the duties and exercise the powers of the Controller and shall perform such other duties and have such other powers as the Board may from time to time prescribe.

The Controller shall attend all meetings of the Managers and record all the proceedings of the meetings of the Company and of the Managers in a book to be kept for that purpose and shall perform like duties for the standing committees when required. The Controller shall give, or shall cause to be given, notice of all meetings of the Member, if any, and special meetings of the Managers, and shall perform such other duties as may be prescribed by the Managers or the President, under whose supervision the Controller shall serve. The Assistant Controller, or if there be more than one, the Assistant Controllers in the order determined by the Managers (or if there be no such determination, then in order of their designation), shall, in the absence of the Controller or in the event of the Controller’s inability to act, perform the duties and exercise the powers of the Controller and shall perform such other duties and have such other powers as the Managers may from time to time prescribe.

The Assistant Controller, or if there shall be more than one, the Assistant Controllers in the order determined by the Board (or if there be no such determination, then in the order set forth on Schedule E hereto), shall, in the absence of the Comptroller or in the event of the Comptroller’s inability to act, perform the duties and exercise the powers of the Comptroller and shall perform such other duties and have such other powers as the Board may from time to time prescribe.
Controller and Assistant Controller. The Controller shall be responsible for establishing financial control policies for the Corporation and shall perform all duties usually appertaining to the office and all duties designated by the Chief Executive Officer or the Board. In the absence of the Controller, any Assistant Controller may perform the duties and shall have all the powers of the Controller.

The Assistant Secretary, or if there be more than one, the Assistant Secretaries in the order determined by the Board (or if there be no such determination, then in order of their election), shall, in the absence of the Secretary or in the event of the Secretary’s inability to act, perform the duties and exercise the powers of the Secretary and shall perform such other duties and have such other powers as the Board may from time to time prescribe.
