Controller Processor Relationship. Other than as set forth in Section 3.2 below, Medidata shall only Process Personal Data on behalf of the Customer. The parties acknowledge that with regard to the Processing of Personal Data as between the parties, Customer acts as the Data Controller and Medidata acts as the Data Processor (e.g., even where Customer is a data processor on behalf of another data controller, as between the parties to this Agreement, Customer will act as the Data Controller).

Controller Processor Relationship. 11.1.1. The Parties agree that the Client is the Data Controller and the Supplier is the Data Processor. 11.1.2. The Supplier will ensure that all its employees, sub-contractors and their personnel comply with all relevant data protection laws. 11.1.3. The Supplier may from time to time subcontract processing of the Data to a third party subcontractor (sub-Processors) without the specific written consent of the Client, in cases such as repairs to data centres, switching of certain service providers (e.g. hardware providers, software providers or providers of other services related to Cloud Computing) as these instances would be classed as being in the legitimate interest of the Data Controller (Recital 49 of the UK-GDPR) and other exemptions made by the Information Commissioner’s Office for Cloud providers. The Supplier reserves the right to sub-contract vetted technical specialists for the occasional and/or regular provision of certain cloud-related services without the Client’s consent. 11.1.4. Subject to paragraph 11.1.3, for all other sub-processing activities the Supplier will only engage a sub-Processor with the prior written consent of the Data Controller (the Client) and a written contract which enforces compliance with data protection laws on the sub- processor. 11.1.5. The Supplier will not transfer or store any data belonging to the Client outside of the UK without express written instructions from the Client, unless required by law to do so. 11.1.6. Although the Supplier in its capacity as Processor will provide any reasonable assistance in the handling of Subject Access Requests (SARs), the Client in its capacity as Controller remains ultimately responsible for the handling of SARs. Any such assistance shall be scoped and charged for separately. 11.1.7. Although the Supplier in its capacity as Processor will provide any reasonable assistance in the performing of Data Protection Impact Assessments (DPIAs) the Client in its capacity as Controller remains ultimately responsible for the performing of its own DPIAs. Any such assistance shall be scoped and charged for separately. 11.1.8. Nothing within this Contract relieves either of the Parties of their own direct responsibilities and liabilities under the UK-GDPR; and no indemnity has been granted.

  • Independent Contractor Relationship Both parties hereto, in the performance of this Contract, shall act in an individual capacity and not as agents, employees, partners, joint ventures or associates of one another. The employees or agents of one party shall not be deemed or construed to be the employees or agents of the other party for any purposes whatsoever.

  • Customer Relationships The Executive understands and acknowledges that the Company has expended significant resources over many years to identify, develop, and maintain its clients. The Executive additionally acknowledges that the Company’s clients have had continuous and long-standing relationships with the Company and that, as a result of these close, long-term relationships, the Company possesses significant knowledge of and confidential information about its clients and their needs. Finally, the Executive acknowledges the Executive’s association and contact with these clients is derived solely from Executive’s employment with the Company. The Executive further acknowledges that the Company does business throughout the United States and that the Executive personally has significant contact with the Company’s clients and customers solely as a result of Executive’s relationship with the Company.

  • Other Relationships Any Agent and any other person, whether or not acting for itself, may acquire, hold or dispose of any Note, Coupon, Talon or other security (or any interest therein) of the Issuer or any other person, may enter into or be interested in any contract or transaction with any such person, and may act on, or as depositary, trustee or agent for, any committee or body of holders of securities of any such person, in each case with the same rights as it would have had if that Agent were not an Agent and need not account for any profit.

  • INDEPENDENT RELATIONSHIP This Agreement is not intended to constitute, create, give effect to or otherwise recognize a joint venture, partnership, or formal business organization, or agency agreement of any kind, and the rights and obligations of the Parties shall be only those expressly set forth herein.

  • Commercial Relationship The Employee expressly acknowledges that the Employee’s participation in the Program and the Company’s grant of the Award does not constitute an employment relationship between the Employee and the Company. The Employee has been granted the Award as a consequence of the commercial relationship between the Company and the Company’s Subsidiary in Mexico that employs the Employee, and the Company’s Subsidiary in Mexico is the Employee’s sole employer. Based on the foregoing: (a) the Employee expressly acknowledges that the Program and the benefits derived from participation in the Program do not establish any rights between the Employee and the Subsidiary in Mexico that employs the Employee; (b) the Program and the benefits derived from participation in the Program are not part of the employment conditions and/or benefits provided by the Subsidiary in Mexico that employs the Employee; and (c) any modifications or amendments of the Program or benefits granted thereunder by the Company, or a termination of the Program by the Company, shall not constitute a change or impairment of the terms and conditions of the Employee’s employment with the Subsidiary in Mexico.

  • Board-Superintendent Relationship The Board shall be primarily responsible for formulating and adopting policy. The Superintendent shall be the chief administrative officer for the district and shall be responsible for implementing Board policy. He shall organize the administrative and supervisory staff, and select, place, and transfer personnel with the concurrence of the Board. He is responsible for administering the instruction of students and the business affairs of the school district. The Board members agree, individually and collectively, to promptly refer all criticisms, complaints, and suggestions called to their attention to the Superintendent for action, study and/or recommendation, as appropriate.

  • General Relationship Executive shall be considered an employee of the Company within the meaning of all federal, state and local laws and regulations including, but not limited to, laws and regulations governing unemployment insurance, workers’ compensation, industrial accident, labor and taxes.
