Controversias. El Titular de la cuenta reconoce que si tiene un desacuerdo o una controversia con el Comerciante con respecto a una compra realizada conforme al Programa de compra en cualquier aspecto, o con respecto a cualquier derecho de compensación o indemnización, puede presentar una controversia con el Comerciante a través del Sitio web del programa en un plazo de sesenta (60) xxxx a partir de la fecha de la factura original (el "Período de controversia de la compra"). El Titular de la cuenta reconoce y acepta que él y el Comerciante son los únicos responsables de resolver cualquier controversia con respecto a una compra. El Titular de la cuenta reconoce y acepta que TreviPay puede basarse únicamente en cualquier decisión tomada por el Comerciante con respecto a la aplicación de un reembolso o crédito al Titular de la cuenta a través de TreviPay, y dicha decisión será definitiva para el Titular de la cuenta y TreviPay. El Titular de la cuenta reconoce y acepta que TreviPay no es responsable de ningún defecto, calidad o cantidad de ningún bien o servicio recibido del Comerciante en el marco del Programa de compra mediante la Cuenta, y tales inconvenientes no tendrán ningún efecto sobre la deuda del Titular de la cuenta a TreviPay en virtud de este Acuerdo. En consecuencia, en estas circunstancias en las que el Titular de la cuenta haya planteado una controversia con respecto a una compra, aún debe pagar todos los montos pendientes en la Cuenta adeudados a TreviPay con respecto a dicha compra, incluso si existe un inconveniente o controversia que permanece sin resolver entre el Titular de la cuenta y el Comerciante. El Titular de la cuenta reconoce y acepta que TreviPay no es responsable de resolver ninguna controversia que este pueda tener con el Comerciante y que TreviPay no puede revertir las compras realizadas al Comerciante mediante la Cuenta. En caso de que el Titular de la cuenta encuentre discrepancias, errores u omisiones con respecto a la información contenida en cualquier estado de cuenta o factura o con respecto a cualquier transacción de compra registrada en la Cuenta, tendrá sesenta (60) xxxx a partir de la fecha de la factura original para objetar cualquier cargo realizado con respecto a una transacción por tales motivos en el marco del Programa de compra. Controversias. Este Contrato está sujeto a las leyes de México.   • Controversies If any controversy arises between the Parties to this Agreement, or with any other Party, concerning the subject matter of this Agreement, its terms or conditions, the Escrow Agent will not be required to determine the controversy or to take any action regarding it. The Escrow Agent may hold all documents and funds and may wait for settlement of any such controversy by final appropriate legal proceedings or other means as, in the Escrow Agent’s discretion, the Escrow Agent may require, despite what may be set forth elsewhere in this Agreement. In such event, the Escrow Agent will not be liable for interest or damage. Furthermore, the Escrow Agent may at its option file an action of interpleader requiring the Parties to answer and litigate any claims and rights among themselves. The Escrow Agent is authorized to deposit with the clerk of the court all documents and funds held in escrow, except all costs, expenses, charges and reasonable attorney fees incurred by the Escrow Agent due to the interpleader action and which the Company agrees to pay. Upon initiating such action, the Escrow Agent shall be fully released and discharged of and from all obligations and liability imposed by the terms of this Agreement.

  • Dispute In the event of any disagreement between the undersigned or the person or persons named in the instructions contained in this Agreement, or any other person, resulting in adverse claims and demands being made in connection with or for any papers, money or property involved herein, or affected hereby, the Escrow Agent shall be entitled to refuse to comply with any demand or claim, as long as such disagreement shall continue, and in so refusing to make any delivery or other disposition of any money, papers or property involved or affected hereby, the Escrow Agent shall not be or become liable to the undersigned or to any person named in such instructions for its refusal to comply with such conflicting or adverse demands, and the Escrow Agent shall be entitled to refuse and refrain to act until: (a) the rights of the adverse claimants shall have been fully and finally adjudicated in a Court assuming and having jurisdiction of the parties and money, papers and property involved herein or affected hereby, or (b) all differences shall have been adjusted by agreement and the Escrow Agent shall have been notified thereof in writing, signed by all the interested parties.

  • Labor Controversies There are no labor controversies pending or, to the best of the Company’s knowledge, threatened against the Company or any Restricted Subsidiary, that could reasonably be expected to have a Material Adverse Effect.

  • Disputes In the case of a dispute as to the determination of the Exercise Price or the arithmetic calculation of the number of Warrant Shares issuable in connection with any exercise, the Company shall promptly deliver to the Holder the number of Warrant Shares that are not disputed.

  • Tax Controversies Subject to the provisions hereof, the General Partner is designated as the Tax Matters Partner (as defined in the Code) and is authorized and required to represent the Partnership (at the Partnership’s expense) in connection with all examinations of the Partnership’s affairs by tax authorities, including resulting administrative and judicial proceedings, and to expend Partnership funds for professional services and costs associated therewith. Each Partner agrees to cooperate with the General Partner and to do or refrain from doing any or all things reasonably required by the General Partner to conduct such proceedings.

  • Arbitration; Other Disputes In the event of any dispute or controversy arising under or in connection with this Agreement, the parties shall first promptly try in good faith to settle such dispute or controversy by mediation under the applicable rules of the American Arbitration Association before resorting to arbitration. In the event such dispute or controversy remains unresolved in whole or in part for a period of thirty (30) days after it arises, the parties will settle any remaining dispute or controversy exclusively by arbitration in Boston, Massachusetts, in accordance with the rules of the American Arbitration Association then in effect. Judgment may be entered on the arbitrator’s award in any court having jurisdiction. Notwithstanding the above, the Company shall be entitled to seek a restraining order or injunction in any court of competent jurisdiction to prevent any continuation of any violation of Paragraph 4 or 5 hereof.

  • Litigation, Labor Controversies, etc There is no pending or, to the knowledge of the Borrower, threatened litigation, action, proceeding, or labor controversy affecting the Borrower or any of its Subsidiaries, or any of their respective properties, businesses, assets or revenues, which could reasonably be expected to have a Material Adverse Effect, except as disclosed in Item 6.7 ("Litigation") of the Disclosure Schedule.

  • Legal Disputes 14.1 Pursuant to New York City Health and Hospitals Corporation Act, Chapter 1016-69, Section 20, all actions against NYC Health + Hospitals shall be brought in the City , in the county in which the cause of action arose, or if it arose outside of the City , in the City , County of New York. The Parties consent to the dismissal or transfer to any claims asserted inconsistent with this section. If Business Associate initiates any action in breach of this section, Business Associate shall promptly reimburse NYC Health + Hospitals for any attorneys’ fees incurred to remove the action to the contractually agreed upon venue. 14.2 Actions against NYC Health + Hospitals by Business Associate arising out of this BAA must be commenced within six months of the expiration or termination of this BAA. 14.3 Neither Party shall make a claim for personal liability against any individual, officer, agent or employee of the other, nor of the City, pertaining to anything done or omitted in connection with this BAA.
