Conveyance Costs. Buyer shall be solely responsible for filing and recording documents related to the transfer of the Properties from Seller to Buyer and for all costs and fees associated therewith, including, without limitation, filing the assignment of the Properties with appropriate federal, state, local and tribal authorities as required by applicable Law. As soon as practicable after recording or filing, Buyer shall furnish Seller with all recording data and evidence of all required filings.

Purchaser shall file and record all such documents as promptly as practicable after the Closing Date and shall promptly furnish Seller with evidence of all required filings and recording data.
Conveyance Costs. Capital expenses for the Conveyance Facilities, not covered by grant funding, will be fixed and amortized. Operating expenses for conveyance will be variable, but may be substantially hedged by energy agreements and off-set by grant funding. Capital expenses and operating expenses for the conveyance of Conserved Water to Solstra (“Conveyance Costs”) may be paid or financed and invoiced separately from the Conserved Water. All Conveyance Costs are the responsibility of Solstra.

Entity shall pay for all conveyance costs including, but not limited to, Entity’s attorneys fees, the Survey; the Commitment search and examination fees and owner's title policy issued pursuant to the Commitment described in Section 6; recording fees, documentary stamp taxes, and recording fees and other costs for curative title documents.

Seller shall be responsible for any and all transfer fees or taxes that may be assessed on the sale of the Properties.

Kxxx-XxXxx shall be solely responsible for filing and recording documents related to the transfer of the Leases and Prospects from Tipperary to Kxxx-XxXxx and for all costs and fees associated therewith, including filing the assignment of the Leases with appropriate federal, state and local authorities as required by applicable law. Within thirty (30) days after Closing, Kxxx-XxXxx shall furnish Tipperary with all recording data and evidence of all required filings.
Conveyance Costs. Donor shall pay (i) all recording costs for the Deed and any other instrument of conveyance executed in connection with the transfer, and (ii) the Title Company closing fee. Each party hereto shall be solely liable for any and all attorneys’ fees or other costs incurred by such party in connection with this transaction. If Donee desires title insurance, Donee shall be responsible for all costs related to the same.
