Cooperação. Se qualquer das Partes receber uma consulta, reclamação ou correspondência (“Notificação de Terceiros”) de um indivíduo, regulador, ou qualquer terceiro referente ao processamento de dados pessoais de Visitantes em razão dos Serviços, xxxxxx prontamente informar à outra Parte e as partes deverão cooperar em boa fé e da forma razoavelmente necessária para endereçar todos os requerimentos de tal Notificação de Terceiro.

Cooperação. Mediante pedido do Cliente, a SAP apoiará, na medida do razoável, o Cliente e Responsáveis pelo Tratamento de Dados a lidar com pedidos de Titulares dos Dados ou de autoridades reguladoras, relativos ao tratamento de Dados Pessoais por parte da SAP ou a qualquer Violação dos Dados Pessoais. A SAP notificará o Cliente, logo que viável na medida do razoável, sobre qualquer solicitação que tenha recebido de um Titular dos Dados, relativamente ao tratamento dos Dados Pessoais, antes de responder a tal solicitação sem receber instruções do Cliente, caso xxx xxxx aplicável. A SAP corrigirá ou removerá quaisquer Dados Pessoais na sua posse (caso existam), ou restringirá o seu tratamento, de acordo com as instruções do Cliente e a Legislação sobre Proteção de Dados.
Cooperação. Cada xxx xxx Partes compromete-se a ajudar a outra Parte nas suas obrigações ao abrigo do presente DPA, para garantir: a) o respeito pela outra parte das suas próprias obrigações relacionadas com a segurança e confidencialidade dos Dados Pessoais processados ao abrigo do presente DPA; b) cooperação na realização de Avaliações de Impacto na Protecção de Dados, Avaliações de Impacto no Tratamento de Dados Pessoais se a natureza do tratamento o exigir e a consulta prévia da autoridade de controlo que possa ser necessária. Assim, cada parte compromete-se a comunicar à outra qualquer informação na sua posse que possa ser necessária para o efeito; c) a informação dos titulares dos dados sobre o tratamento dos seus Dados Pessoais. Para este fim, o TheFork exibe um aviso de recolha de dados para a atenção das pessoas em causa quando os Dados Pessoais são recolhidos; d) o tratamento dos pedidos para o exercício dos direitos das pessoas em causa ao abrigo da GDPR (direito de acesso, rectificação, direito de apagar, direito de restringir o tratamento de dados, direito à portabilidade dos dados, direito de oposição e direito de não ser sujeito a um processo de decisão automático, incluindo a definição de perfis) se tais pedidos forem dirigidos a ambas as Partes. Quando tais pedidos são dirigidos ao Restaurante, este notifica o TheFork por e-mail para xxxxxxx@xxxxxxx.xx imediatamente e, em qualquer caso, no prazo de 72 horas após o pedido, juntamente com toda a informação em seu poder que possa ser útil. Além disso, o Restaurante compromete-se a implementar as consequências de um pedido que lhe seja dirigido em todas as ferramentas, aplicações e bases de dados que utiliza; e e) o cumprimento da obrigação de notificar a autoridade de controlo e de informar as pessoas em causa xx xxxx de violação de Dados Pessoais, por outras palavras, qualquer violação de segurança que leve à destruição acidental ou ilegal, perda, alteração, divulgação ou acesso não autorizado aos Dados Pessoais em tratamento. TheFork tratará destas obrigações de notificação e informação. O Restaurante não notificará a autoridade de controlo nem informará a xxxxxx xx causa. No entanto, compromete-se a notificar TheFork, por e-mail para xxxxxxx@xxxxxxx.xx, imediatamente após xxxxx conhecimento de qualquer violação de Xxxxx Xxxxxxxx. Esta notificação deve conter todas as informações e documentação na posse do Restaurante que possam ser úteis ao TheFork ao
Cooperação. TheFork, como Subcontratante, compromete-se a ajudar o Restaurante com as suas obrigações ao abrigo deste DPA a garantir:
Cooperação. As Partes e as Intervenientes se comprometem a (i) garantir que as deliberações societárias da Companhia necessárias sejam prontamente submetidas à aprovação do Conselho de Administração da Companhia e/ou da Assembleia Geral de Acionistas, conforme o caso; (ii) votar favoravelmente (e fazer com que seus representantes no Conselho de Administração votem favoravelmente) à aprovação do Aporte da PDP, sujeito aos termos e condições previstos nos termos deste Acordo; e (iii) praticar, de forma geral, os atos necessários para concretizar o Aporte da PDP assim que razoavelmente possível, sujeito aos termos e condições estabelecidos neste instrumento. Para fins de esclarecimento, a Sierra e seus representantes (incluindo os membros do conselho nomeados pela Sierra) deverão abster-se de votar no Aporte da PDP no Conselho de Administração da Companhia e/ou na Assembleia Geral de Acionistas, conforme o caso. 7.1. Prazo, Vigência e Rescisão (a) A eficácia deste Acordo está condicionada à conclusão da Incorporação prevista no Acordo de Incorporação. Assim que a Incorporação for concluída, este Acordo se tornará eficaz automaticamente, sem necessidade de qualquer ação adicional das Partes. Não obstante o exposto acima, as Partes se comprometem a, até a Data de Vigência, observar os termos desse Acordo de Incorporação. Este Acordo será eficaz a partir da Data de Vigência.
Cooperação. 1 — A cooperação entre a República Portuguesa e o Imamat Ismaili no sentido do estabelecimento de um am- biente de concórdia e de diálogo interconfessional, xx xxx e de justiça e de realização dos valores partilhados, materializa-se a nível interno e no contexto internacional, particularmente, mas sem restringir, no âmbito da União Europeia e dos países de língua portuguesa.
Cooperação. Se a defesa da Reivindicação de Terceiro for assumida pela Parte Indenizadora, a Parte Indenizada terá o direito de participar da defesa e contratar advogado, à sua própria custa, separadamente do advogado contratado pela Parte Indenizadora. Se a Parte Indenizada assumir a defesa de qualquer Reivindicação de Terceiro, conforme estabelecido acima, as Partes Indenizadoras deverão cooperar razoavelmente com a Parte Indenizada na respectiva defesa ou acusação.

  • Industrial cooperation Cooperation shall aim to promote the modernisation and restructuring of industry and individual sectors in Serbia. It shall also cover industrial cooperation between economic operators, with the objective of strengthening the private sector under conditions which ensure that the environment is protected. Industrial cooperation initiatives shall reflect the priorities determined by both Parties. They shall take into account the regional aspects of industrial development, promoting trans-national partnerships when relevant. The initiatives should seek in particular to establish a suitable framework for undertakings, to improve management, know-how and to promote markets, market transparency and the business environment. Special attention shall be devoted to the establishment of efficient export promotion activities in Serbia. Cooperation shall take due account of the Community acquis in the field of industrial policy.

  • Full Cooperation (1) The Contractor shall, at a minimum— (i) Disclose to the agency Inspector General information sufficient to identify the nature and extent of an offense and the individuals responsible for the conduct; (ii) Provide timely and complete responses to Government auditors' and investigators' requests for documents; (iii) Cooperate fully in providing reasonable access to its facilities and staff (both inside and outside the U.S.) to allow contracting agencies and other responsible Federal agencies to conduct audits, investigations, or other actions to ascertain compliance with the Trafficking Victims Protection Act of 2000 (22 U.S.C. chapter 78), E.O. 13627, or any other applicable law or regulation establishing restrictions on trafficking in persons, the procurement of commercial sex acts, or the use of forced labor; and (iv) Protect all employees suspected of being victims of or witnesses to prohibited activities, prior to returning to the country from which the employee was recruited, and shall not prevent or hinder the ability of these employees from cooperating fully with Government authorities. (2) The requirement for full cooperation does not foreclose any Contractor rights arising in law, the FAR, or the terms of the contract. It does not— (i) Require the Contractor to waive its attorney-client privilege or the protections afforded by the attorney work product doctrine; (ii) Require any officer, director, owner, employee, or agent of the Contractor, including a sole proprietor, to waive his or her attorney client privilege or Fifth Amendment rights; or (iii) Restrict the Contractor from— (A) Conducting an internal investigation; or (B) Defending a proceeding or dispute arising under the contract or related to a potential or disclosed violation.

  • Technical Cooperation In order to facilitate the implementation of this Agreement, developed country Members shall provide, on request and on mutually agreed terms and conditions, technical and financial cooperation in favour of developing and least-developed country Members. Such cooperation shall include assistance in the preparation of laws and regulations on the protection and enforcement of intellectual property rights as well as on the prevention of their abuse, and shall include support regarding the establishment or reinforcement of domestic offices and agencies relevant to these matters, including the training of personnel.

  • Company Cooperation The Company hereby covenants and agrees that it will not, and the Stockholder irrevocably and unconditionally acknowledges and agrees that the Company will not (and waives any rights against the Company in relation thereto), recognize any Encumbrance or agreement (other than this Agreement) on any of the Stockholder Securities subject to this Agreement.

  • Assistance and Cooperation (a) Each of the Companies shall provide (and shall cause its Affiliates to provide) the other Companies and their respective agents, including accounting firms and legal counsel, with such cooperation or information as they may reasonably request in connection with (i) preparing and filing Tax Returns, (ii) determining the liability for and amount of any Taxes due (including estimated Taxes) or the right to and amount of any refund of Taxes, (iii) examinations of Tax Returns, and (iv) any administrative or judicial proceeding in respect of Taxes assessed or proposed to be assessed. Such cooperation shall include making available, upon reasonable notice, all information and documents in their possession relating to the other Companies and their respective Affiliates as provided in Section 9. Each of the Companies shall also make available to the other Companies, as reasonably requested and available, personnel (including employees and agents of the Companies or their respective Affiliates) responsible for preparing, maintaining, and interpreting information and documents relevant to Taxes. (b) Any information or documents provided under this Section 8 or Section 9 shall be kept confidential by the Company or Companies receiving the information or documents, except as may otherwise be necessary in connection with the filing of Tax Returns or in connection with any administrative or judicial proceedings relating to Taxes. Notwithstanding any other provision of this Agreement or any other agreement, in no event shall any of the Companies or any of their respective Affiliates be required to provide the other Companies or any of their respective Affiliates or any other Person access to or copies of any information if such action could reasonably be expected to result in the waiver of any Privilege. In addition, in the event that any of the Companies determine that the provision of any information to the other Companies or their respective Affiliates could be commercially detrimental, violate any law or agreement or waive any Privilege, the Parties shall use reasonable best efforts to permit compliance with their obligations under this Section 8 or Section 9 in a manner that avoids any such harm or consequence.

  • Assistance Registry Operator will co-­‐operate and provide reasonable assistance to ICANN and the CZDA Provider to facilitate and maintain the efficient access of zone file data by permitted users as contemplated under this Schedule.

  • Reasonable Efforts/Cooperation Each of the Parties hereto will use its commercially reasonable efforts to promptly take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable Laws and regulations to consummate the transactions contemplated by this Agreement, including adopting plans or plan amendments. Each of the Parties hereto shall cooperate fully on any issue relating to the transactions contemplated by this Agreement for which the other Party seeks a determination letter or private letter ruling from the IRS, an advisory opinion from the DOL or any other filing, consent or approval with respect to or by a Governmental Authority.

  • Litigation and Regulatory Cooperation During and after the Executive’s employment, the Executive shall cooperate fully with the Company in the defense or prosecution of any claims or actions now in existence or which may be brought in the future against or on behalf of the Company which relate to events or occurrences that transpired while the Executive was employed by the Company. The Executive’s full cooperation in connection with such claims or actions shall include, but not be limited to, being available to meet with counsel to prepare for discovery or trial and to act as a witness on behalf of the Company at mutually convenient times. During and after the Executive’s employment, the Executive also shall cooperate fully with the Company in connection with any investigation or review of any federal, state or local regulatory authority as any such investigation or review relates to events or occurrences that transpired while the Executive was employed by the Company. The Company shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive’s performance of obligations pursuant to this Section 7(f).

  • Cooperation The principal executive officer of the Company, the principal financial officer of the Company, the principal accounting officer of the Company and all other officers and members of the management of the Company shall cooperate fully in any offering of Registrable Securities hereunder, which cooperation shall include, without limitation, the preparation of the Registration Statement with respect to such offering and all other offering materials and related documents, and participation in meetings with Underwriters, attorneys, accountants and potential investors.

  • UNION COOPERATION The Union, as well as the members thereof, agree at all times as fully as it may be within their power, to further the interests of the Employer.
