Cooperation in Obtaining Consents. The Sellers and Shareholders shall use reasonable best efforts in cooperating with the Buyer in the preparation of and delivery to all applicable automobile manufacturers or distributors, as soon as practicable after the date hereof, of an application and other information necessary to obtain such automobile manufacturer's or distributor's consent to or the approval of the transactions contemplated by this Agreement as contemplated by Section 7.10.
Cooperation in Obtaining Consents. Purchaser shall use commercially reasonable efforts in response to any reasonable request of Seller to assist Seller in obtaining any consent of third parties necessary for the consummation of the transactions contemplated by this Agreement during the Cure Period.
Cooperation in Obtaining Consents. Buyer shall take all steps reasonably requested by Seller to help secure the consents and approvals referred to in Section 6.4 hereof.

Cooperation in Obtaining Consents. The Company shall use its commercially reasonable efforts to provide all cooperation reasonably requested by Parent in connection with obtaining any third party consent to the consummation of the transactions contemplated hereby to the extent reasonably determined by the Parties to be required pursuant to the terms of any Contract listed or required to be listed in Section 4.4 of the Company Disclosure Schedule or any other Company Material Contract; provided, however, that in no event shall the Company be required to amend any such Contract or make any payment to any counterparty thereto in connection with obtaining such consent, unless such amendment or payment is conditioned upon consummation of the Merger.
Cooperation in Obtaining Consents. The Seller shall promptly notify GM of the execution and delivery of this Agreement and use reasonable best efforts in cooperating with the Buyer in the preparation of and delivery to all applicable automobile manufacturers or distributors, as soon as practicable after the date hereof, of an application and other information necessary to obtain such automobile manufacturer's or distributor's consent to or the approval of the transactions contemplated by this Agreement.
Cooperation in Obtaining Consents. Purchaser's directors and officers shall use their best efforts in response to any reasonable request of Sellers to assist Sellers in obtaining any consents of third parties necessary for the consummation of the transactions contemplated by this Agreement.
Cooperation in Obtaining Consents. Seller and Buyer shall cooperate with one another (i) in obtaining Consents required to be obtained from parties to any Assigned Contracts in connection with the consummation of the Transaction and (ii) in taking such actions, furnishing information required in connection therewith and seeking timely to obtain any such Consents.
Cooperation in Obtaining Consents. GID shall use commercially reasonable efforts in response to any reasonable request of Seller to assist Seller in obtaining any consents of third parties necessary for the consummation of the transactions contemplated by this Agreement, including (i) the providing of financial information about GID (subject to non-disclosure agreements acceptable to GID); and (ii) the providing of guarantees to replace the guarantees made by Seller, as set forth in the Disclosure Schedule.
Cooperation in Obtaining Consents. Seller and Buyer each will take reasonable steps requested by the other to secure the consents and approvals referred to in Section 5.2. Each party will afford to the other party the opportunity to review, approve and revise the form in which such consents and approvals will be requested prior to the delivery of such request to the Person whose consent is sought, and neither party shall accept or agree to accede to any modifications or amendments to, or any conditions to the assignment of, any of the Licenses, Contracts or Real Property of Seller that may adversely affect either Seller's or Buyer's ownership, as appropriate, of the Assets or operation of the System.
