Common use of Cooperation of the Parties Clause in Contracts

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to shall cooperate fully in the preparation, filing, prosecution and maintenance of the Licensed Patents, Santen Patents and Joint Patents under pursuant to this Section 8.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs9.2. Such cooperation includes, but is not limited to: includes (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions as set forth in Section 9.1, and Patents claiming or disclosing such Inventions, and as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2; 9.2, and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or and maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Licensee Patents and Joint Patents under this Section 8.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 10.2 and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like their equivalent with respect thereto respectively respectively, at its own costscost (except as expressly set forth otherwise in this Article 10). Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.210.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 6.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststhereto. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 6.1, and Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by this Section 8.26.2; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 10.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like their equivalent with respect thereto respectively respectively, at its own costscost (except as expressly set forth otherwise in this Article 10). Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, reasonably requested by the other Party so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.210.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen the Inventiva Patents and Joint Jointly Owned Other Invention Patents under this Section 8.2 12.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costsrespectively. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party Inventiva to apply for and to prosecute patent applications in any country or region as permitted by this Section 8.212.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen the Cidara Patents and Joint Patents under this pursuant to Section 8.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs8.2. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 8.1, and Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2; , and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or and maintenance of any such patent applications.

Each Party agrees to shall cooperate fully with the other Party in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 12.2 and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like their equivalent with respect thereto respectively respectively, at its own costscost (except as expressly set forth otherwise in this Article 12). Such cooperation includes, but is not limited to: includes (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2; 12.2, and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patents covering Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 Technology and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.matters

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution prosecution, and maintenance of Licensed Patents, Santen Patents and Joint Patents under this Section 8.2 10.5 and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates certificates, pediatric extensions, and the like their equivalent with respect thereto respectively thereto, at its own costscost (except as expressly set forth otherwise in this Article 10). Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.210.5; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution prosecution, or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents Patent Rights under this Section 8.2 Sections 5.2 or 5.3 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststhereto. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patents set forth in Section 5.1, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2Sections 5.2 or 5.3; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Y-mAbs Patents under this Section 8.2 ‎9.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to enable the other Party to apply for and to prosecute patent applications in any country as permitted by this Section 8.2‎9.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Licensed Patents, Santen Patents and Joint Patents Patent Rights under this Section 8.2 6.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststhereto. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patents set forth in Section 6.1, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by this Section 8.26.2; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.
