Cooperation with Lessee. Certificate Trustee, Administrative Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense, cooperate to allow Lessee to (a) perform its covenants contained in Section 5.1, including at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may request in order to perform such covenants, and (b) further Lessee's requirements as lessee of the Systems and related Equipment.

Cooperation with Lessee. The Owner Participant shall, to the extent reasonably so requested by the Lessee, cooperate with the Lessee, at the Lessee's expense, to enable the Lessee to make the filings and recordings listed in Schedule 3, including, without limitation, at any time and from time to time, upon the request of the Lessee promptly and duly executing and delivering, any and all such further instruments and documents as the Lessee may reasonably request in order to perform such covenants and to make such filings and recordings.
Cooperation with Lessee. The Lessor shall, to the extent reasonably requested by the Lessee (but without assuming additional liability on account thereof), as a Transaction Cost or as a Construction Cost before the Completion Date, as applicable, and at the Lessee’s expense thereafter, cooperate to allow the Lessee to (a) perform its covenants contained in the Construction Agency Agreement including at any time and from time to time, upon the reasonable request of the Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as the Lessee may reasonably request in order to perform such covenants and (b) further the Lessee’s requirements as lessee of each Leased Property including to file any statement with respect to any tax abatements or other requirements; provided none of the foregoing expose the Lessor to increased liability under the Operative Documents.
Cooperation with Lessee. The Indenture Trustee shall, upon the reasonable written request of the Lessee, the Owner Participant or the Lessor cooperate with the Lessee, the Owner Participant and the Lessor, at the Lessee’s expense, to enable the Lessee to perform the Lessee covenants contained in Section 10.6 and to make the filings and recordings listed in Schedule 4.15(b), including, without limitation, at any time and from time to time, promptly and duly executing and delivering any and all such further instruments, documents and financing statements (and continuation statements related thereto) as the Lessee, the Owner Participant or the Lessor may reasonably request in order to perform such covenants and to make such filings and recordings.

Cooperation with Lessee. Administrative Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense, cooperate to allow Lessee to (a) perform its covenants contained in Section 5.1, including at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and completed financing statements (and continuation statements related thereto) as Lessee may request in order to perform such covenants, (b) further Lessee's requirements as lessee of the Property, including to file or cause to be filed any completed statement with respect to any tax abatements or other requirements, (c) execute and acknowledge consents or joinders and otherwise assist with respect to actions permitted under Section 8.3 of the Lease, including such actions as Lessee may request on the Acquisition Date (such as executing reciprocal easement agreements and executing documents described in Section 8.3 of the Lease which require Lessor's signature), and (d) upon transfer of the Property to Lessee or any third party, minimize transfer and mortgage recording taxes as long as by doing so no Administrative Agent or Participant shall have any continuing liability with respect thereto.
Cooperation with Lessee. The Lessor shall, to the extent reasonably requested by the Lessee or the Construction Agent (but without assuming additional liability on account thereof and only so long as such Trustee actions do not adversely affect the "as-built" value, utility, residual value at the end of the Base Lease Term or remaining economic life of the Facility), at the Lessee's expense (provided that during the Construction Period the Construction Agent shall request an Advance, the proceeds of which shall be used to pay such expense), cooperate to allow the Lessee and the Construction Agent to (i) perform their covenants contained in Section 6.1, including at any time and from time to time, upon the reasonable request of the Lessee or the Construction Agent, promptly and duly to execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as the Lessee or the Construction Agent may reasonably request and as shall be presented to it in final execution form in order to perform such covenants and (ii) further the Lessee's interest as lessee, including the filing of any statement with respect to any Tax abatements, Permitted Contests or other requirements.

Cooperation with Lessee. The Holders, the Lenders, the Lessor (at the direction provided pursuant to the Intercreditor Agreement) and the Agent shall, at the expense of and to the extent reasonably requested by Lessee (but without assuming additional liabilities on account thereof and only to the extent such is acceptable to the Holders, the Lenders, the Lessor (at the direction of the Majority Secured Parties) and the Agent in their reasonable discretion), cooperate with Lessee in connection with Lessee satisfying its covenant obligations contained in the Operative Agreements including without limitation at any time and from time to time, promptly and duly executing and delivering any and all such further instruments, documents and financing statements (and continuation statements related thereto).
Cooperation with Lessee. Lessor agrees to promptly execute and deliver to Lessee applications and permits which are required by the appropriate jurisdiction to be signed or issued in the name of the fee owner of the Demised Premises, such as, without limitation and by way of example only, subdivision applications and plats and highway occupancy permits. Lessee represents and warrants that it will keep all information and/or reports and/or documents obtained from Lessor or its agents, or related to or in connection with the Demised Premises strictly confidential and will not disclose any such information to any person or entity (except for Lessee’s attorneys, consultants and advisors who need to know such information for the purpose of providing advice to Lessee with respect to this Lease), without the prior written consent of Lessor.
