Cooperation with Lessee. Certificate Trustee, Administrative Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense, cooperate to allow Lessee to (a) perform its covenants contained in Section 5.1, including at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may request in order to perform such covenants, and (b) further Lessee's requirements as lessee of the Systems and related Equipment.
Cooperation with Lessee. The Lessor shall, to the extent reasonably requested by the Lessee (but without assuming additional liability on account thereof), as a Transaction Cost, and at the Lessee’s expense thereafter, cooperate to allow the Lessee to further the Lessee’s requirements as lessee of each Leased Property including to file any statement with respect to any tax abatements or other requirements; provided none of the foregoing expose the Lessor to increased liability under the Operative Documents.
Cooperation with Lessee. The Owner Participant shall, to the extent reasonably so requested by the Lessee, cooperate with the Lessee, at the Lessee's expense, to enable the Lessee to make the filings and recordings listed in Schedule 3, including, without limitation, at any time and from time to time, upon the request of the Lessee promptly and duly executing and delivering, any and all such further instruments and documents as the Lessee may reasonably request in order to perform such covenants and to make such filings and recordings.
Cooperation with Lessee. Ground Lessee shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense (provided that during the Construction Period Lessee shall request an Advance, the proceeds of which shall be used to pay such expense), cooperate to allow Lessee to (i) perform its covenants contained in Section 6.1, including at any time and from time to time, upon the reasonable request of Lessee, promptly and duly to execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may reasonably request and as shall be presented to it in final execution form in order to perform such covenants and (ii) further Lessee's interest as lessee, including the filing of any statement with respect to any tax abatements, Permitted Contests or other requirements.
Cooperation with Lessee. Administrative Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense, cooperate to allow Lessee to (a) perform its covenants contained in Section 5.1, including at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and completed financing statements (and continuation statements related thereto) as Lessee may request in order to perform such covenants, (b) further Lessee's requirements as lessee of the Property, including to file or cause to be filed any completed statement with respect to any tax abatements or other requirements, (c) execute and acknowledge consents or joinders and otherwise assist with respect to actions permitted under Section 8.3 of the Lease, including such actions as Lessee may request on the Acquisition Date (such as executing reciprocal easement agreements and executing documents described in Section 8.3 of the Lease which require Lessor's signature), and (d) upon transfer of the Property to Lessee or any third party, minimize transfer and mortgage recording taxes as long as by doing so no Administrative Agent or Participant shall have any continuing liability with respect thereto.
Cooperation with Lessee. Lessor, Agent and each Lender shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense, cooperate to allow Lessee to (a) perform its covenants contained in Section 5.1, including at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may request in order to perform such covenants and (b) further Lessee's requirements as lessee of the Sites, including to file any statement with respect to any tax abatements or other requirements.
Cooperation with Lessee. The Lessor or the Lessor Trustee, as the case may be, shall, upon the reasonable request of the Lessee or the Indenture Trustee, cooperate with the Lessee and the Indenture Trustee, at the Lessee’s expense, to enable the Lessee to make the filings and recordings listed in Schedule 4.15(b), including, without limitation, at any time and from time to time, upon the request of the Lessee or the Indenture Trustee promptly and duly executing and delivering any and all such further instruments, documents and financing statements (and continuation statements related thereto) as the Lessee or the Indenture Trustee may request in order to perform such covenants and to make such filings and recordings.
Cooperation with Lessee. Certificate Trustee, Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), as a Transaction Cost or as a Construction Cost before the Final Completion Date and at Lessee's expense thereafter, cooperate to allow Lessee to (a) perform its covenants contained in Article V including, without limitation, at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may reasonably request in order to perform such covenants and (b) further Lessee's requirements as lessee of the Premises, including, without limitation, to file any statement with respect to any tax abatements or other requirements.
Cooperation with Lessee. Certificate Trustee, Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability on account thereof), at Lessee's expense, cooperate to allow Lessee to (a) perform its covenants contained in Section 5.4(a) including, without limitation, at any time and from time to time, upon LSI Trust No. 2001-A Participation Agreement the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may reasonably request in order to perform such covenants and (b) further Lessee's requirements as lessee of the Items of Equipment, including, without limitation, to file any statement with respect to any tax abatements or other requirements.
Cooperation with Lessee. Certificate Trustee, Agent and each Participant shall, to the extent reasonably requested by Lessee (but without assuming additional liability or obligation on account thereof), at Lessee's expense, cooperate to allow Lessee to: (a) perform its covenants contained in ARTICLE V including at any time and from time to time, upon the reasonable request of Lessee, to promptly and duly execute and deliver any and all such further instruments, documents and financing statements (and continuation statements related thereto) as Lessee may reasonably request in order to property perform such covenants, and (b) fulfill Lessee's requirements as lessee of the Leased Property, including to file any statement with respect to any tax abatements or other requirements. Each Participant hereby expressly authorizes the Certificate Trustee to execute and deliver the waiver forms and releases as may be requested by Lessee pursuant to the last sentence of Article III of the Lease.
