Corporate Organization, Power. As of the Closing Date and as of the Execution Date of this Agreement, the KemPharm Parties have all requisite corporate power and authority to execute, deliver, grant, and perform the covenants and transactions contemplated herein, and to consummate the transactions contemplated herein. The execution, delivery, and performance of this Agreement does not, and the consummation of the transactions contemplated hereby and will not, violate or conflict with (i) any provision of KemPharm’s organizational documents, (ii) any law applicable to KemPharm Parties, or (iii) any agreement, mortgage, lease, instrument, order, judgment, or decree to which any of the KemPharm Parties is a party or by which any of the KemPharm Parties is bound; and

Corporate Organization, Power. As of the Closing Date and as of the Execution Date of this Agreement, Shire has all requisite corporate power and authority to execute, deliver, grant, and perform the covenants and transactions contemplated herein, and to consummate the transactions contemplated herein, on behalf of itself and its Affiliates. The execution, delivery, and performance of this Agreement does not, and the consummation of the transactions contemplated hereby will not, violate or conflict with (i) any provision of Shire’s organizational documents, (ii) any law applicable to Shire, or (iii) any agreement, mortgage, lease, instrument, order, judgment, or decree to which Shire is a party or by which Shire is bound; and
Corporate Organization, Power. The Company is a limited liability company duly formed, validly existing and in good standing under the laws of the State of Michigan. The Company has all requisite company power and authority to conduct the Business as it is now being conducted and to own, lease and operate its property and assets as now owned, leased and operated. The Company is duly qualified to do business and in good standing as a foreign company in each jurisdiction where the nature of its activities or character of the properties owned, leased or operated by such Company requires such qualification, except where the failure to be so qualified and in good standing is not reasonably likely to have a material adverse effect on the business, financial condition, assets, properties or results of operations of the Company taken as a whole (a “Material Adverse Effect”). The jurisdictions where the Company is so qualified and in good standing are listed on Schedule 3.1. Schedule 3.1 shall also set forth in both dollar and relative percentage amounts (rounded to the nearest 1/100th of one per cent (e.g.. 10.25%)) the Company revenue derived from each jurisdiction. The five jurisdictions with the highest relative Company revenue shall be referred to as the “Top 5 Jurisdictions.” The calculations set forth on Schedule 3.1 shall be based on average daily collected funds over the prior three (3) complete calendar months immediately preceding the Effective Date.

  • Corporate Organization, Etc The Purchaser is a corporation duly organized, validly existing and in good standing under the laws of its jurisdiction of incorporation with full corporate power and authority to carry on its business as it is now being conducted and to own, operate and lease its properties and assets. The Purchaser is duly qualified or licensed to do business and is in corporate and tax good standing in every jurisdiction in which the conduct of its business, the ownership or lease of its properties, or the execution of, and performance of the transactions contemplated by, this Agreement, require it to be so qualified or licensed.

  • Corporate Organization (a) Seller is a corporation duly organized, validly existing and in corporate good standing under the laws of the State of Delaware. Seller has all requisite corporate power and authority to own, lease or operate all of its properties and assets and to carry on its business as it is now being conducted. Each of Seller’s Subsidiaries is duly organized, validly existing and, if applicable, in corporate good standing under the laws of the jurisdiction of its organization. Each of Seller’s Subsidiaries has all requisite corporate power and authority to own, lease or operate all of its properties and assets and to carry on its business as it is now being conducted. Each of Seller’s Subsidiaries is duly licensed or qualified to do business in each jurisdiction in which the nature of the business conducted by it or the character or location of the properties and assets owned, leased, or operated by it makes such licensing or qualification necessary, except where the failure to be so licensed or qualified and in good standing has not had and would not reasonably be expected to have, either individually or in the aggregate, a Seller Material Adverse Effect. (c) The articles or certificate of incorporation and bylaws or equivalent organizational documents of each of the Subsidiaries of the Seller, copies of which have previously been made available to Parent and Purchaser, are true, correct, and complete copies of such documents as currently in effect.

Other than as set forth in Section 3.01(a) of the Company's disclosure letter (the "Company Disclosure Letter") delivered concurrently with the delivery of this Agreement, the respective certificates of incorporation and by-laws or other organizational documents of the Subsidiaries of the Company do not contain any provision limiting or otherwise restricting the ability of the Company to control such Subsidiaries.
