Counterparts; Other Matters. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures to this Agreement delivered by facsimile or similar electronic transmission will be deemed to be binding as originals. This Agreement is established in the English language. Any translation in another language shall be deemed for convenience only and shall never prevail over the original English version.

Counterparts; Other Matters. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Each Party may execute this Agreement only by wet ink signature. In addition, wet ink signatures of authorized signatories of any Party will be deemed to be original signatures and will be valid and binding. Wet ink signature counterparts must be transmitted to the respective other Party by delivery in person or via internationally recognized overnight delivery, or by registered or certified mail (postage prepaid, return receipt requested).
