Credit Party Information. No Credit Party shall change its name, jurisdiction of formation, chief executive office and/or principal place of business (i) unless such Credit Party delivers any documentation reasonably required to permit the Administrative Agent to maintain its first priority security interest in the applicable Collateral (subject to Permitted Liens) or (ii) otherwise obtains the prior written consent of the Administrative Agent. The Administrative Agent consents to the relocation of the principal place of business of any Credit Party to the location previously disclosed to the Administrative Agent.
Credit Party Information. With reasonable promptness, such other information and data with respect to any Credit Party as from time to time may be reasonably requested by the Administrative Agent or any Lender.
Credit Party Information. No Credit Party shall change its name chief executive office and/or principal place of business without prior written notice to the Administrative Agent. No Credit Party shall change its jurisdiction of formation without the prior written consent of the Administrative Agent.
Credit Party Information. With reasonable promptness, such other information and data with respect to any Credit Party as from time to time may be reasonably requested by Administrative Agent or any Lender. Documents required to be delivered pursuant to Section 4.1(a), Section 4.1(b) or Section 4.1(e) (to the extent any such documents are included in materials otherwise filed with the Securities and Exchange Commission) may be delivered electronically and if so delivered, shall be deemed to have been delivered on the date on which Borrower posts such documents, or provides a link thereto on Borrower’s website on the Internet at xxxx://xxx.xxxxxxxxxxxxxxx.xxx; or (ii) on which such documents are posted on Borrower’s behalf on an Internet or intranet website reasonably acceptable to Administrative Agent to which each Lender and Administrative Agent have access; provided that Borrower shall notify Administrative Agent and each Lender (by telecopier or electronic mail) of the posting of any such documents, and Borrower shall provide to Administrative Agent by electronic mail electronic versions (i.e., soft copies) of such documents; notwithstanding anything contained herein, in every instance Borrower shall be required to provide paper copies of the compliance certificate required by Section 4.1(c) to Administrative Agent, which shall then promptly furnish such compliance certificate to the Lenders. Except for such compliance certificates, Administrative Agent shall have no obligation to request the deliver or to maintain copies of the documents referred to above, and in any event shall have no responsibility to monitor compliance by Borrower with any such request for delivery, and each Lender shall be solely responsible for requesting delivery to it or maintaining its copies of such documents.
Credit Party Information. No Credit Party shall change its jurisdiction of formation, without the prior written consent of the Administrative Agent. No Credit Party shall change its name without providing at least ten (10) Business Days prior written notice to the Administrative Agent, provided with respect to the change of the Initial Borrower’s name upon its Conversion, such notice requirement shall only be one (1) Business Day prior written notice. No Credit Party shall change its chief executive office and/or principal place of business, without providing prior written notice to the Administrative Agent.
Credit Party Information. The information contained in Schedule I (as updated by the Borrowers in writing to the Administrative Agent from time to time) is accurate in all material respects.
Credit Party Information. No Credit Party shall change its name, jurisdiction of formation, chief executive office and/or principal place of business (a) with respect to each entity formed in the United States, without providing written notice thereof at least thirty (30) days prior to such change, which notice shall provide such Credit Party’s new name, jurisdiction of formation, location of its principal office, chief executive office and/or principal place of business, as applicable, and (b) with respect to any other Person, without the prior written consent of the Administrative Agent.
Credit Party Information. No Credit Party shall change its name, jurisdiction of formation or incorporation, chief executive office and/or principal place of business without giving the Administrative Agent at least five (5) Business Days’ prior written notice thereof.
Credit Party Information. With reasonable promptness, such other information and data with respect to any Credit Party as from time to time may be delivered to the First Lien Agent.
Credit Party Information. No Credit Party shall (a) change its name, jurisdiction of formation, chief executive office and/or principal place of business to a jurisdiction or location within the United States without giving at least of sixty (60) days’ (or such shorter period as agreed by the Administrative Agent) advance written notice and taking all steps necessary in the sole but reasonable judgment of the Administrative Agent to preserve the Liens on the collateral and to continue the perfection of such security interests therein; or (b) change its jurisdiction of formation or chief executive office and/or principal place of business to a jurisdiction or location outside of the United States without the prior written consent of the Administrative Agent, not to be unreasonably withheld.
