Compliance Certificates definition

Compliance Certificates means the certificates of compliance set out in item 1.10;

Compliance Certificates means the certificates of a Responsible Officer submitted to the Administrative Agent and the Lenders from time to time pursuant to this Agreement, which certificates shall be substantially in the form attached hereto as EXHIBIT C.

Compliance Certificates has the meaning set forth in Section 6 of the Schedule.

• Except for such Compliance Certificates, the Administrative Agent shall have no obligation to request the delivery or to maintain copies of the documents referred to above, and in any event shall have no responsibility to monitor compliance by the Borrower with any such request for delivery, and each Lender shall be solely responsible for requesting delivery to it or maintaining its copies of such documents.

• Notwithstanding anything contained herein, in every instance the Borrower shall be required to provide paper copies of the Compliance Certificates required by Section 6.02(b) to the Administrative Agent.

More Definitions of Compliance Certificates

Compliance Certificates means the certificates of a Responsible Officer submitted to the Lender from time to time pursuant to this Agreement, which certificates shall be substantially in the form attached hereto as Exhibit III.

Compliance Certificates means the Financial Compliance Certificates and the Non-Financial Compliance Certificates.

Compliance Certificates means the Prestige Holdings Compliance Certificate and the Oceania Cruises Compliance Certificate and, in the singular, either of them;

Compliance Certificates means the certificates of the president or chief financial officer of the Borrower submitted to the Bank from time to time pursuant to this Agreement and attesting to and providing calculation of the financial covenants and stating, to such officer's knowledge, whether or not an Event of Default has occurred and is continuing and, if such an event has occurred, the actions being taken by the Borrower, to remedy such situation, which certificates shall be in the form attached hereto as Exhibit "A".

Compliance Certificates shall have the meaning assigned to such term in Section 8.2(ii) of this Agreement.
