CUSTOMER acknowledges. 11.9.1 That GDS’s only mechanism for routing 911, E911, or any other emergency calls directly to the correct emergency center (public safety answering point or “PSAP”) is the detailed physical dispatchable location information registered for the account at any given time; 11.9.2 CUSTOMER agrees to assist GDS in validating a 911 registered dispatchable location address that has been rejected by the 911 provider; 11.9.3 Neither 911, E911 nor any emergency calling service will be provided until CUSTOMER’s dispatchable location(s) has(have) been validated. Dispatchable location validation may take longer than 48 hours for newly constructed buildings, particularly locations where GDS has not previously established service; 11.9.4 That any location passed directly by GDS to the PSAP by GDS will be the most recent physical dispatchable location registered by CUSTOMER; 11.9.5 That it shall be CUSTOMER’s responsibility to update the detailed phone line-by-line dispatchable location information described in Section 11.7 above; 11.9.6 If CUSTOMER moves to a new location and does not provide updated dispatchable location for a device, any 911 call made from that device may be sent to the PSAP nearest the last dispatchable location registered by customer, may transmit the wrong address, and may fail altogether; and 11.9.7 That if CUSTOMER fails to provide and/or update such information and GDS becomes aware of such failure, GDS may, but will not be required to, route the caller to a national emergency call center as a last resort. CUSTOMER shall pay all costs incurred by GDS for calls that are routed to a national emergency call center.

Orders and transactions in Financial Products are subject and bound by the applicable Market Operating Rules and the procedures, customs, usages and practices of the applicable financial market, the relevant financial market operator and its affiliates, as the case may be, as amended from time to time. B. It has received, read and understood IB LLC's financial services guide. IB LLC's financial services guide contains important information about the services IB provides. IB's financial services guide may change from time to time. A copy of the current financial services guide can be obtained on IB LLC's website (xxxx://xxx.xxxxxxxxxxxxxxxxxx.xxx under "Forms and Disclosures") or on request.
CUSTOMER acknowledges. (a) that Supplier is not and cannot be aware of the extent of any potential loss or damage to Customer resulting from any failure of the Developed Software to conform to the applicable Functional Specification or any failure by Supplier to discharge its obligations under these Terms; (b) that the Developed Software cannot be tested in every possible combination and operating environment, and that it is not possible to produce or maintain economically (if at all) computer programs known to be entirely error free or which operate in uninterrupted manner.

Therefore, references to THE CUSTOMER in this BANKING PRODUCTS AND SERVICES AGREEMENT shall be applied and shall be binding upon each and every one of the persons having the status of CUSTOMER, and the assignees, agents or representatives thereof, who declare that they accept each and every one of the terms and conditions set forth in this BANKING PRODUCTS AND SERVICES AGREEMENT, and also declares that the information supplied by them to the BANK is true. b) Any reference to a person such as "DEBTOR", "CO-DEBTOR", "GUARANTOR", "GUARANTEE", "SIGNATURE", "MAIN CUSTOMER", "ADDITIONAL CUSTOMER", "CARDHOLDER" or "ACCOUNT HOLDER", GENERAL CONDITIONS or PARTICULAR CONDITIONS in this, or any document or communication of THE BANK, refers also to THE CUSTOMER; Therefore, any liability of the CUSTOMER shall be payable by such person.

  • Customer Agreements 29.1 Trader to include provisions in Customer Agreements: The following clauses apply in respect of the Trader’s Customer Agreements: (a) in respect of each Customer Agreement that has been entered into prior to the Commencement Date: (i) at the next review date, or, if the Trader is able to unilaterally vary the Customer Agreement, within 12 months after the Commencement Date (whichever is earlier), the Trader must issue a unilateral variation to the Customer Agreement to include provisions that have substantially the same effect as the provisions required to be included in the Customer Agreement by this Agreement, and those provisions must be expressed to be for the benefit of the Distributor and enforceable by the Distributor in accordance with section 12 of the Contract and Commercial Law Act 2017; or (ii) if the Trader is unable to unilaterally vary 1 or more Customer Agreements as set out in subparagraph (i), the Trader must: (A) use all reasonable endeavours to obtain at the next review of each Customer Agreement, or within 12 months, whichever is earlier, the agreement of the Customer to enter into a variation of the Customer Agreement to include the provisions required to be included in the Customer Agreement by this Agreement, and those provisions must be expressed to be for the benefit of the Distributor and enforceable by the Distributor under section 12 of the Contract and Commercial Law Act 2017; and (B) promptly provide notice to the Distributor if it is unable to obtain the agreement of the Customer required in subparagraph (A); or (b) in respect of each Customer Agreement that has been entered into after the Commencement Date, include the provisions required to be included in the Customer Agreement by this Agreement, and those provisions must be expressed to be for the benefit of the Distributor and enforceable by the Distributor in accordance with section 12 of the Contract and Commercial Law Act 2017.

Each Significant Customer is listed in Schedule 2.22(a) of the Company Disclosure Letter. Neither the Company nor any of its Subsidiaries has received any information from any Significant Customer that such Significant Customer will not continue as a customer of the Company as wholly-owned by the Acquiror or such Subsidiary, after the Closing or that such Significant Customer intends to terminate or materially modify existing Contracts with the Company as wholly-owned by the Acquiror or such Subsidiary. The Company has not had any of its products returned by a purchaser thereof except for normal warranty returns consistent with past history and those returns that would not have a Material Adverse Effect on the Company and its Subsidiaries, taken as a whole. (b) All Company Products sold, licensed, leased or delivered by the Company or any Subsidiary to customers and all services provided by or through the Company or any Subsidiary to customers on or prior to the Closing Date conform in all material respects to applicable contractual commitments, express and implied warranties (to the extent not subject to legally effective express exclusions thereof), and conform in all material respects to packaging, advertising and marketing materials and to applicable product or service specifications or documentation. Neither the Company nor any Subsidiary has any Liability (and, to the knowledge of the Company, there is no legitimate basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim or demand against the Company or any Subsidiary giving rise to any material Liability relating to the foregoing Contracts) for replacement or repair thereof or other damages in connection therewith in excess of any reserves therefor reflected on the Company Balance Sheet. (c) Neither the Company nor any Subsidiary has any outstanding material dispute concerning products and/or services provided by any supplier who, in the year ended September 30, 2009 or the six (6) months ended March 31, 2010, was one of the ten (10) largest suppliers of products and/or services to the Company and its Subsidiaries, based on amounts paid or payable (each, a “Significant Supplier”), and the Company has no knowledge of any material dissatisfaction on the part of any Significant Supplier. Each Significant Supplier is listed in Schedule 2.22(c) of the Company Disclosure Letter. Other than as set forth in Schedule 2.22(c) of the Company Disclosure Letter, neither the Company nor any of its Subsidiaries has received any information that any such Significant Supplier will not continue as a supplier to the Company as wholly-owned by the Acquiror or such Subsidiary after the Closing or that such Significant Supplier intends to terminate or materially modify existing Contracts with the Company as wholly-owned by the Acquiror or such Subsidiary. The Company and its Subsidiaries have access, on commercially reasonable terms, to all products and services reasonably necessary to carry on their respective businesses, and the Company has no knowledge of any reason why they will not continue to have such access on commercially reasonable terms.
