Customer and Contact Lists. All written information and material which are provided by either party to the other shall be deemed to be Confidential Information if it is prominently marked "Confidential." Additionally, all verbal information disclosed by a party to the other party shall be deemed Confidential Information if it is identified as such in writing within five (5) days of disclosure. Information disclosed by one party to the other shall cease to be Confidential Information only if the party or parties to whom such disclosure is made can prove by written, clear, and convincing evidence that the Confidential Information 0) is now or has subsequently become generally known or available to or from the general public, (ii) is known to the party to whom such disclosure is made at the time of receipt, (iii) is provided by the disclosing party to a third party without restriction or disclosure, (iv) is subsequently provided to the party to whom disclosure is made by a third party without restriction on disclosure, or (v) is independently developed by the party to whom disclosure is made, and the person or persons developing the same have not had access to the Confidential Information of the disclosing party.

  • Customer Lists We hereby agree that we shall not use any list of your customers which may be obtained in connection with this Agreement for the purpose of solicitation of any product or service without your express written consent.
